LEGAL RELEASE TO DISCLOSE

This Legal Release to Disclose (the "Release") is entered into as of Effective Date: by and between Releasor Name: , Address: and Releasee Name: , Address: . The Releasor and Releasee are sometimes referred to individually as a "Party" and collectively as the "Parties."

RECITALS

WHEREAS, Releasor possesses certain information, records, materials or personal data described further below that Releasor may permit to be disclosed to third parties; and

WHEREAS, Releasee has requested authorization to disclose or share such information for the purposes identified in this Release, and Releasor is willing to authorize such disclosure subject to the terms and conditions set forth herein; and

WHEREAS, the Parties desire to set forth the scope, limitations, and legal effect of the authorization to disclose and to document the release and waiver of certain claims arising from such disclosure.

NOW, THEREFORE

In consideration of the mutual covenants and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

1. DEFINITIONS

For purposes of this Release: (a) "Authorized Disclosure" means the disclosure authorized by Releasor under Section 2; (b) "Confidential Information" means information of a private, proprietary, or personal nature identified in writing or reasonably understood by the Parties to be confidential; and (c) "Recipient Third Parties" means any third party to whom Releasee is permitted to disclose information under this Release.

2. AUTHORIZATION TO DISCLOSE

Releasor hereby authorizes Releasee to disclose the information described below (the "Released Information") to Recipient Third Parties solely in accordance with the scope, purposes and limitations set forth in this Release.

3. SCOPE AND PURPOSE OF DISCLOSURE

The Released Information may be disclosed only for the following purposes: . Releasee shall limit disclosure to the minimum information necessary to accomplish the stated purpose and shall instruct Recipient Third Parties to treat the Released Information in accordance with Section 6 of this Release.

4. DURATION

Releasee shall: (a) treat Released Information as Confidential Information; (b) use commercially reasonable administrative, technical, and physical safeguards to protect Released Information from unauthorized access or disclosure; and (c) require Recipient Third Parties to be bound by confidentiality obligations at least as protective as those set forth herein prior to any disclosure.

7. RELEASE AND WAIVER

Releasor hereby releases and forever discharges Releasee and its officers, directors, employees, agents and contractors from any and all claims, demands, liabilities, causes of action, and damages of any kind arising from or in connection with the Authorized Disclosure to the extent such disclosures are made consistent with this Release. This release includes, but is not limited to, claims for invasion of privacy, breach of confidentiality, negligence, and emotional distress to the extent legally cognizable.

8. REPRESENTATIONS AND WARRANTIES

Each Party represents and warrants that it has full power and authority to enter into this Release, that the execution and performance hereof will not violate any other agreement or applicable law, and that the person executing this Release on its behalf is duly authorized to bind the Party.

9. INDEMNIFICATION

Releasee shall indemnify, defend and hold harmless Releasor from and against any third-party claims, liabilities, losses, costs and expenses (including reasonable attorneys' fees) arising from Releasee's gross negligence or willful misconduct in connection with an unauthorized disclosure that breaches this Release.

10. LIMITATION OF LIABILITY

Except for liabilities arising from willful misconduct or intentional breaches of confidentiality, in no event shall either Party be liable to the other for consequential, incidental, special, or punitive damages, even if advised of the possibility of such damages.

11. NOTICES

All notices, requests, demands and other communications required or permitted hereunder shall be in writing and shall be delivered by hand, overnight courier, or certified mail, return receipt requested, to the addresses provided below or to such other address as a Party may designate by written notice.

12. AMENDMENTS, WAIVER, COUNTERPARTS

This Release may be amended only by a written instrument executed by both Parties. No failure or delay by either Party in exercising any right shall operate as a waiver of that right. This Release may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument.

13. GOVERNING LAW; SEVERABILITY; ENTIRE AGREEMENT

This Release shall be governed by and construed in accordance with the laws of the jurisdiction specified below: , without regard to conflict of laws rules. If any provision of this Release is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
