LEGAL RENEWAL CONSENT FORM

This Legal Renewal Consent Form is entered into as of Effective Date: by and between Client Name: (hereafter "Party A") and Client Name: (hereafter "Party B"). The parties entered into a prior agreement titled dated (the "Original Agreement").

RECITALS

WHEREAS, the Original Agreement set forth obligations and rights of the parties and included a stated term and expiration date; and

WHEREAS, the parties desire to consent to a renewal of the Original Agreement on the terms and conditions set forth herein and to document any agreed modifications to the Original Agreement; and

WHEREAS, each party represents that it has full corporate or organizational power to enter into this Legal Renewal Consent Form and that performance under the Original Agreement is capable of being renewed as provided below.

NOW, THEREFORE, in consideration of the mutual promises set forth below, the parties agree as follows:

1. Definitions

In this Form, unless the context otherwise requires, capitalized terms used but not defined shall have the meanings assigned in the Original Agreement. For purposes of this Form: "Renewal Term" means the period set forth in Section 3 below. "Effective Date" means the date set forth above.

2. Consent to Renewal

Each party hereby irrevocably consents to the renewal of the Original Agreement in accordance with the terms of this Form. Except as expressly modified by this Form, all terms, covenants, representations and warranties of the Original Agreement remain in full force and effect.

3. Renewal Term

The Renewal Term shall commence on Renewal Start Date: and shall continue for a period of ending on Renewal End Date: unless earlier terminated in accordance with the Original Agreement or this Form.

4. Consideration

As consideration for the renewal and the mutual covenants herein, Party B shall pay to Party A the amount of in accordance with the payment schedule set forth in the Original Agreement, subject to any adjustments expressly agreed in Section 5 of this Form.

5. Modifications and Additional Terms

If no material modification is described above, the parties confirm that all obligations shall continue unaltered except as expressly set forth in this Form.

6. Representations and Warranties

Each party represents and warrants to the other that as of the Effective Date: (a) it has the full power and authority to enter into and perform its obligations under this Form; (b) no event of default under the Original Agreement exists which has not been waived or cured; and (c) the execution and delivery of this Form and the performance of its obligations hereunder will not violate any law, judgment, order or agreement binding on it.

Party A represents that there are no known defaults by Party B under the Original Agreement except as disclosed in writing:

7. Conditions to Renewal

This renewal is conditioned upon the accuracy of the representations above and upon the timely payment of any consideration described in Section 4. Failure to satisfy these conditions shall permit the non-breaching party to decline the renewal and exercise any remedies available under the Original Agreement or at law.

8. Notices

Notices given in accordance with the Original Agreement shall be effective for purposes of this Form if sent to the addresses provided above or such other address as a party may designate by notice in accordance with the Original Agreement.

9. Governing Law

This Form shall be governed by and construed in accordance with the laws of the jurisdiction specified in the Original Agreement. To the extent the Original Agreement does not specify jurisdiction, the laws of the state identified by Party A's principal place of business shall govern.

10. Entire Agreement

This Form and the Original Agreement constitute the entire agreement between the parties with respect to the subject matter hereof as modified by this Form, and supersede all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written, relating thereto.

11. Severability

If any provision of this Form is held to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions shall not be affected or impaired and the parties shall negotiate in good faith to replace the invalid provision with a valid provision that most nearly effects the parties' intent.

12. Amendments; Waiver

Any amendment to this Form must be in writing and executed by both parties. No waiver of any breach or default shall be effective unless in writing and signed by the waiving party. The failure to exercise any right shall not operate as a waiver of such right.

13. Counterparts

This Form may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures delivered by electronic means shall be binding as originals.
