RECITALS

In consideration for the renewal provided for herein, the Parties agree that the renewed Agreement shall be subject to the fees and payment terms set forth in Section 2.1 below or, if applicable, as adjusted by mutual written agreement.

3. REPRESENTATIONS AND WARRANTIES

Each Party represents and warrants to the other that (a) it has full corporate or legal power and authority to execute and deliver this Letter and to perform its obligations hereunder, (b) the execution, delivery and performance of this Letter have been duly authorized, and (c) neither the execution nor performance of this Letter will violate any material contract, law or order applicable to such Party.

4. CONTINUING OBLIGATIONS

The Parties acknowledge and agree that all representations, warranties, indemnities and covenants contained in the Agreement remain in effect during the Renewal Term. Any breach of the Agreement during the Renewal Term shall be subject to the same remedies and dispute resolution procedures set forth in the Agreement.

5. CONDITIONS PRECEDENT

The effectiveness of this Letter is subject to the following conditions precedent: (a) no Event of Default under the Agreement exists as of the Effective Date; and (b) each Party has delivered to the other Party an executed copy of this Letter.

6. NOTICES

All notices required or permitted under this Letter shall be given in writing and shall be delivered to the addresses set forth below (or to such other address as a Party may specify by notice in accordance with this Section).

7. AMENDMENT; WAIVER

This Letter may be amended or modified only by a written instrument signed by authorized representatives of both Parties. No failure or delay by either Party in exercising any right, power or remedy shall operate as a waiver thereof, nor shall any single or partial exercise preclude any other or further exercise of any right.

8. GOVERNING LAW

This Letter shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

9. ENTIRE AGREEMENT

This Letter, together with the Agreement, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior negotiations, understandings and agreements between the Parties relating to such subject matter.

10. SEVERABILITY

If any provision of this Letter is held to be invalid, illegal or unenforceable in any respect, the remaining provisions shall remain in full force and effect and the invalid, illegal or unenforceable provision shall be reformed to the extent necessary to make it valid and enforceable while preserving the intent of the Parties.

11. COUNTERPARTS

This Letter may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures delivered by electronic means shall be binding.

12. MISCELLANEOUS

Except as expressly provided herein, nothing in this Letter shall be construed as creating any third-party beneficiary rights. This Letter is binding upon and shall inure to the benefit of the Parties and their respective successors and permitted assigns.
