The Renouncing Party hereby irrevocably and unconditionally renounces, releases, and forever disclaims any and all rights, title, interest, claims, demands, and causes of action that the Renouncing Party has or may have now or in the future in, to, or arising from:

3. CONSENT

4. CONSIDERATION

5. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that: (a) it has full power and authority to enter into this Agreement and to perform its obligations hereunder; (b) the person executing this Agreement on behalf of any entity is authorized to do so; (c) this Agreement is a valid and binding obligation enforceable against such party in accordance with its terms; and (d) the execution and delivery of this Agreement do not constitute a breach of any other agreement or legal duty.

6. ACKNOWLEDGMENT OF UNDERSTANDING

The Renouncing Party acknowledges that it has read and understands this Agreement, has had the opportunity to seek independent legal advice, and is signing voluntarily and without duress or undue influence. The Renouncing Party further acknowledges that the renunciation is intended to be final and irrevocable except as expressly provided in this Agreement.

7. WAIVER AND RELEASE

Effective upon the Effective Date, the Renouncing Party expressly releases and forever discharges the Consenting Party, and its successors, assigns, agents and representatives, from any and all claims, demands, liabilities, losses, causes of action and damages of any nature whatsoever arising from or relating to the renounced rights, provided that nothing in this release shall operate to release any rights of third parties not within the parties' control.

8. INDEMNIFICATION

Each party agrees to indemnify, defend and hold harmless the other party from and against any and all losses, liabilities, costs and expenses (including reasonable attorneys' fees) resulting from any breach of the representations, warranties or covenants contained in this Agreement, or from any claim by a third party arising out of acts or omissions of the indemnifying party relating to the renounced subject matter.

9. NOTICES

All notices, requests, demands and other communications required or permitted hereunder shall be in writing and delivered to the addresses below or to such other address as a party may designate by written notice to the other party in accordance with this Section.

10. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below, without regard to conflict of laws principles.

11. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written, relating to such subject matter.

12. SEVERABILITY

If any provision of this Agreement is held to be illegal, invalid or unenforceable under present or future laws effective during the term hereof, such provision shall be fully severable, and this Agreement shall be construed and enforced as if such illegal, invalid or unenforceable provision had never comprised a part of this Agreement, and the remaining provisions shall remain in full force and effect.

13. AMENDMENTS; WAIVER

No amendment, modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties. The failure of either party to exercise any right provided for herein shall not be a waiver of prior or subsequent rights.

14. COUNTERPARTS

This Agreement may be executed in any number of counterparts, each of which when executed and delivered shall constitute an original, and all of which together shall constitute one and the same instrument.

15. EFFECTIVE DATE

This Agreement shall become effective on the later of: (a) the date on which it is signed by both parties; or (b) the date specified below.
