LEGAL REPRESENTATION ADDENDUM

This Legal Representation Addendum (the Addendum) is made as of Effective Date: by and between Client Name: with principal address: and Counsel Name: with principal address: (each a Party and together, the Parties).

RECITALS

WHEREAS, Client previously engaged Counsel pursuant to an existing engagement agreement and seeks to modify or supplement the scope of representation to cover additional matters or to clarify billing and authority for specified activities; and

WHEREAS, Counsel is willing to provide the additional services described below on the terms and conditions set forth in this Addendum; and

WHEREAS, the Parties intend that this Addendum govern the Parties' rights and obligations with respect to the additional representation described herein.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained in this Addendum and for other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the Parties agree as follows:

1. SCOPE OF ADDITIONAL REPRESENTATION

1.1 Additional Matters. Counsel shall provide legal services with respect to the following additional matter(s): . Such services are supplemental to the existing engagement and do not expand Counsel's obligations beyond those expressly set forth in this Addendum.

1.2 Limitations. Counsel shall not undertake matters outside the Additional Matters unless expressly agreed in writing. Any tasks outside the Additional Matters require a written amendment in accordance with Section 10.

2. EFFECTIVE DATE AND TERM

2.1 Effective Date. This Addendum shall be effective as of the Effective Date set forth above and shall continue until the completion of the Additional Matters or earlier termination in accordance with Section 8.

2.2 Survival. Provisions that by their nature should survive termination, including but not limited to Sections 4 (Fees and Billing), 6 (Confidentiality), and 11 (Governing Law), shall survive termination or expiration of this Addendum.

3. ADDITIONAL SERVICES AND RESPONSIBILITIES

3.1 Performance Standard. Counsel shall perform services in a competent and professional manner in accordance with applicable rules of professional conduct and with the skill ordinarily exercised by attorneys performing similar work.

3.2 Client Cooperation. Client shall provide timely information, documents, and decisions necessary for Counsel to perform the Additional Matters. Failure to provide requested cooperation may justify suspension or termination of services and Client will remain liable for fees and costs incurred up to such suspension or termination.

4. FEES, RETAINER AND BILLING

5. CONFLICTS, CONSENT AND WAIVER

5.1 Conflicts. Counsel represents that, except as disclosed in writing, Counsel is not aware of any current conflict of interest that would materially impair Counsel's ability to represent Client in the Additional Matters. Client acknowledges receipt of any disclosed conflicts and hereby consents to Counsel's continued representation as described in the written disclosure.

5.2 Waiver. To the extent Client knowingly and voluntarily waives any conflict, such waiver shall be effective only if set forth in a separate writing signed by Client that identifies the conflict and the scope of the waiver.

6. AUTHORITY TO INCUR COSTS

6.1 Authorization. Client authorizes Counsel to incur reasonable costs and expenses necessary for the prosecution or defense of the Additional Matters, including filing fees, expert fees, courier charges and travel, subject to a maximum unauthorized expenditure of $ without prior Client consent.

7. CONFIDENTIALITY AND PRIVILEGE

7.1 Privileged Communications. Communications and work product created in the course of representation of Client by Counsel in the Additional Matters shall be subject to the attorney-client privilege and work product protection to the fullest extent available under law. Counsel shall maintain confidentiality as required by law and professional standards.

7.2 Exceptions. Counsel may disclose confidential information only to the extent required by law, court order, or as necessary to comply with professional obligations, or with Client's prior written consent.

8. TERMINATION

8.1 Termination for Convenience. Either Party may terminate this Addendum upon written notice to the other Party. Client remains responsible for fees and costs incurred through the effective date of termination, including reasonable costs associated with orderly transition of the matter.

8.2 Effect of Termination. Upon termination, Counsel shall deliver to Client any papers and property to which Client is entitled and shall provide a final accounting and invoice for fees and expenses. Any retainer held in trust shall be applied in accordance with professional obligations.

9. NOTICES

Notices shall be in writing and shall be deemed given upon personal delivery, delivery by nationally recognized overnight courier, or three (3) business days after deposit in the U.S. mail, postage prepaid, addressed to the Parties at the addresses set forth above (or at such other address as either Party may designate by notice).

10. AMENDMENT, WAIVER AND COUNTERPARTS

10.1 Amendment. This Addendum may be amended only by a writing signed by both Parties. Any attempted oral modification shall be ineffective.

10.2 Waiver. No waiver of any provision of this Addendum shall be effective unless in writing and signed by the Party against whom enforcement is sought. No waiver of any breach shall constitute a waiver of any subsequent breach.

10.3 Counterparts. This Addendum may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures delivered by electronic means shall be effective for all purposes.

11. GOVERNING LAW, ENTIRE AGREEMENT, SEVERABILITY

11.1 Governing Law. This Addendum shall be governed by and construed in accordance with the laws of the governing jurisdiction specified below: , without regard to its conflict of law principles.

11.2 Entire Agreement. This Addendum, together with any referenced engagement agreement between the Parties, constitutes the entire agreement between the Parties with respect to the Additional Matters and supersedes all prior discussions and agreements relating thereto.
