RECITALS

WHEREAS, Client desires to engage Representative to act as Client's authorized representative with respect to legal matters, access to client records, and communications with third parties as set forth below; and

WHEREAS, Representative is willing to accept such appointment and to perform the duties and exercise the powers conferred herein subject to the terms and limitations of this Use of Rep Form; and

NOW, THEREFORE

In consideration of the mutual promises contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

Client hereby appoints Representative as Client's authorized agent and representative to take the actions expressly checked below and to perform all acts necessary, advisable, or incidental to the exercise of those authorities, subject to the limitations set forth in this Agreement.

3. RECORDS, CONFIDENTIALITY, AND PRIVACY

Representative shall maintain the confidentiality of Client information and shall use such information only for purposes of performing under this Agreement. Representative may disclose information to third parties only to the extent reasonably necessary to carry out the authorized actions and only in compliance with applicable law. Upon termination of this Agreement, Representative shall return or destroy Client documents and records as directed by Client, except as otherwise required by law or to preserve a legal right.

4. FEES, COSTS, AND PAYMENT

Fees and costs associated with Representative's performance shall be governed by any separate fee agreement executed by the parties. In the absence of a separate fee agreement, Representative may bill Client for reasonable fees and costs incurred in connection with the authorized representation. Client expressly authorizes Representative to incur reasonable costs on Client's behalf, subject to Client's prior approval for any individual cost in excess of .

5. TERM AND TERMINATION

This authorization shall remain in effect until revoked in writing by Client, until the purpose of the authorization has been fulfilled, or until the Effective Date specified above is superseded by a termination date set forth below. Client may revoke this authorization by delivering written notice to Representative; such revocation shall not affect actions taken by Representative in reliance on this authorization prior to receipt of revocation.

6. INDEMNIFICATION

Client agrees to indemnify and hold harmless Representative from and against any liabilities, claims, losses, damages, and expenses (including reasonable attorneys' fees) arising out of Representative's lawful performance of the authority granted herein, except to the extent resulting from Representative's gross negligence or willful misconduct.

7. NOTICES

All notices required or permitted under this Agreement shall be in writing and shall be delivered to the parties at the addresses set forth below (or at such other address as a party may designate in writing).

8. REPRESENTATIONS; AUTHORITY

Each party represents and warrants that it has full authority to enter into this Agreement and to perform its obligations hereunder, and that the person executing this Agreement on its behalf is duly authorized to do so. Client warrants that no conflict of interest exists that would invalidate or impair the authority granted herein.

9. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to choice-of-law principles that would apply the laws of another jurisdiction.

10. ENTIRE AGREEMENT; SEVERABILITY; AMENDMENTS; WAIVER; COUNTERPARTS

If any provision of this Agreement is determined to be invalid or unenforceable, such provision shall be severed and the remaining provisions shall remain in full force and effect. No failure or delay by any party to exercise any right under this Agreement shall operate as a waiver of that right. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.
