2. SCOPE OF AUTHORITY

4. TERM

5. REVOCATION

6. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has full power and authority to enter into this Form, that the individual signing on its behalf is duly authorized, and that this Form constitutes a valid and binding obligation enforceable in accordance with its terms.

7. INDEMNIFICATION

Principal agrees to indemnify, defend and hold harmless Representative from and against any and all liabilities, losses, claims, costs, and expenses (including reasonable attorneys' fees) arising out of Representative's good faith performance of the authority granted under this Form, except to the extent caused by Representative's gross negligence, willful misconduct or material breach of professional duties.

8. CONFIDENTIALITY

Representative shall maintain as confidential all nonpublic information received from Principal in connection with this appointment, except as required by law, court order, or to the extent necessary to perform the duties authorized herein. Representative shall use such information solely for the purpose of representing Principal under this Form.

9. NOTICES

All notices required or permitted under this Form shall be in writing and shall be deemed given when delivered personally, sent by overnight courier, or five (5) days after deposit in the U.S. mail, certified or registered, return receipt requested, to the address specified above or to such other address as a party designates in writing.

10. GOVERNING LAW

This Form shall be governed by and construed in accordance with the laws of the State specified below without regard to that State's conflict of laws principles.

11. ENTIRE AGREEMENT; SEVERABILITY; AMENDMENT; WAIVER; COUNTERPARTS

This Form constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions and agreements. If any provision of this Form is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
