RECITALS

WHEREAS, Principal possesses certain legal matters and records, confidential information, and transactional authority that may require access, management, or representation by an authorized agent; and

Principal hereby appoints Representative as Principal's lawful agent and attorney-in-fact for the limited purposes set forth in Section 2 below, subject to the terms, limitations and conditions in this Form. Representative accepts the appointment and agrees to act in accordance with the authority granted.

Representative shall not have authority to (a) make or amend testamentary dispositions; (b) enter into, amend, or terminate any trust or estate planning instrument on behalf of Principal; (c) transfer or encumber Principal's real property except as expressly authorized in writing; or (d) settle or compromise litigation on behalf of Principal unless Principal provides express written consent for such specific action.

This appointment and authority shall become effective on and shall continue until unless earlier revoked in accordance with Section 5 below.

Principal may revoke this appointment at any time by providing written notice to Representative. Revocation shall be effective upon receipt by Representative, but shall not affect actions taken by Representative in reliance on this Form prior to receipt of revocation unless otherwise required by applicable law.

6. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has full power and authority to enter into this Form, that the individual executing this Form on its behalf is duly authorized, and that this Form constitutes a valid and binding obligation enforceable in accordance with its terms.

7. DUTIES; STANDARD OF CARE

Representative shall act in good faith, with reasonable care, and in the best interests of Principal when exercising any authority granted under this Form. Representative shall keep accurate records of actions taken on Principal's behalf and shall, upon reasonable request, provide copies of such records to Principal.

8. INDEMNIFICATION

Principal shall indemnify, defend and hold Representative harmless from and against all claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of or relating to Representative's good‑faith performance of duties under this Form, except to the extent caused by Representative's gross negligence or willful misconduct.

9. CONFIDENTIALITY

Representative shall maintain the confidentiality of all non‑public information obtained in the course of performing duties under this Form and shall not disclose such information except as required to perform the authorized functions or as required by law.

10. NOTICES

All notices, requests, demands and other communications required or permitted under this Form shall be in writing and delivered to the addresses set forth below or to such other address as a party may designate by written notice to the other party.

11. AMENDMENTS; WAIVER

No amendment or modification of this Form shall be effective unless in writing and signed by both parties. Waiver of any breach shall not operate as a waiver of any subsequent breach.

12. GOVERNING LAW

This Form shall be governed by and construed in accordance with the laws of the state or jurisdiction specified below, without regard to its conflict of laws rules.

13. ENTIRE AGREEMENT; SEVERABILITY; COUNTERPARTS
