LEGAL REQUEST AGREEMENT

This Legal Request Agreement (the Agreement) is entered into as of Effective Date: by and between Client Name: with Address: and Service Provider Name: with Address: . Client and Service Provider are referred to herein individually as a Party and collectively as the Parties.

RECITALS

WHEREAS, Client desires that Service Provider undertake certain legal requests, investigations, advisory services, or document preparation as more particularly described below; and

WHEREAS, Service Provider represents that it has the qualifications, experience, and ability to perform the requested services and is willing to accept engagement on the terms and conditions set forth in this Agreement; and

WHEREAS, the Parties desire to set forth the scope, responsibilities, fees, confidentiality obligations, and other terms applicable to the legal request.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the Parties agree as follows:

1. SCOPE OF REQUEST

1.1 Services. Service Provider shall perform the services described in the Scope of Request below (the Services). The Services shall include only those tasks expressly set forth here and in any written attachments executed by the Parties. Additional tasks will require written amendment and may be subject to additional fees.

2. AUTHORIZATION AND CLIENT RESPONSIBILITIES

2.1 Client Authorization. Client hereby authorizes Service Provider to take such actions as are reasonably necessary to perform the Services, including but not limited to requesting documents, communications, filings, and engaging third-party consultants when authorized in writing.

2.2 Client Cooperation. Client shall timely provide all information, documents, and access reasonably requested by Service Provider. Failure to provide timely cooperation may result in delay, additional fees, and suspension of Services.

3. FEES, EXPENSES AND PAYMENT

3.1 Fees. Client shall pay Service Provider fees in accordance with the fee arrangement selected below. Fees are payable in U.S. dollars and are due upon invoice unless otherwise agreed in writing.

3.2 Expenses. Client shall reimburse Service Provider for reasonable out-of-pocket expenses incurred in connection with the Services, including filing fees, courier costs, and third-party vendor charges. Reimbursable expenses may be invoiced in arrears.

3.3 Late Payment. Any undisputed invoice not paid when due shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law. Nonpayment may result in suspension of Services until payment is made.

4. CONFIDENTIALITY

4.1 Confidential Information. Except as required by law or as otherwise agreed in writing, each Party shall maintain in confidence all non-public information disclosed by the other Party in connection with this Agreement and shall use such information solely to perform its obligations hereunder.

4.2 Exceptions. Confidential information shall not include information that is or becomes publicly available through no fault of the receiving party, was rightfully in the receiving party’s possession prior to disclosure, or is independently developed without use of confidential materials.

5. CONFLICTS OF INTEREST; INDEPENDENCE

5.1 Conflicts. Service Provider shall use commercially reasonable efforts to identify any actual or potential conflicts of interest prior to commencing Services and shall disclose any such conflicts promptly. If a conflict cannot be appropriately addressed, Service Provider may decline or withdraw from the engagement.

5.2 Independent Contractor. Service Provider shall perform the Services as an independent contractor and nothing in this Agreement shall be construed to create a partnership, joint venture, employment, or agency relationship between the Parties.

6. RECORDS; DOCUMENT RETENTION

6.1 Client Records. Client shall retain copies of materials provided to Service Provider. Service Provider shall maintain records of work completed in accordance with applicable professional obligations and may, subject to confidentiality obligations, dispose of retained files after a period of time consistent with those obligations.

7. TERM AND TERMINATION

7.1 Term. This Agreement shall commence on the Effective Date and shall continue until the Services are completed or the Agreement is terminated in accordance with this Section.

7.2 Termination for Convenience. Either Party may terminate this Agreement upon seven (7) days’ prior written notice to the other Party. Upon termination, Client shall pay Service Provider for Services performed and expenses incurred through the effective date of termination.

8. INDEMNIFICATION

8.1 Indemnity by Client. Client shall defend, indemnify, and hold Service Provider and its affiliates, officers, employees, and agents harmless from and against any and all claims, liabilities, losses, damages, and expenses (including reasonable attorneys’ fees) arising out of Client’s breach of this Agreement, Client’s negligence, or Client-provided misinformation.

8.2 Indemnity by Service Provider. Service Provider shall indemnify Client for any third-party claim resulting from Service Provider’s gross negligence or willful misconduct in performing the Services.

9. LIMITATION OF LIABILITY

Except for liability arising from gross negligence, willful misconduct, or breach of confidentiality, neither Party shall be liable to the other for any incidental, consequential, special, exemplary, or punitive damages, and each Party’s aggregate liability under this Agreement shall in no event exceed the total fees paid by Client to Service Provider under this Agreement during the twelve (12) months preceding the claim.

10. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered by hand, nationally recognized overnight courier, or certified mail (return receipt requested) to the addresses set forth below or to such other address as a Party may designate in writing.

11. AMENDMENTS; WAIVER

No amendment, modification, or waiver of any provision of this Agreement shall be effective unless made in a writing signed by both Parties. The failure of either Party to enforce any provision shall not constitute a waiver of that provision or any other provision.

12. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles.

13. ENTIRE AGREEMENT; SEVERABILITY

13.1 Entire Agreement. This Agreement, together with any written attachments executed by the Parties, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, and communications, whether written or oral.

13.2 Severability. If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect and the invalid provision shall be replaced by a valid provision that most closely approximates the Parties’ intent.

14. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures transmitted by facsimile, electronic image, or similar transmission shall have the same effect as original signatures.

15. CERTIFICATION

Each Party represents and warrants that it has the full power and authority to enter into this Agreement and that the individual signing on behalf of a Party is authorized to bind that Party to the terms and conditions herein.
