LEGAL REQUEST FORM

This Legal Request Form is made effective as of Effective Date: by and between Requesting Party Name: with address: ("Requesting Party") and Legal Provider Name: with address: ("Provider").

RECITALS

WHEREAS, the Requesting Party seeks legal advice or representation regarding the matter described as: ; and

WHEREAS, the Provider represents that it is duly authorized, experienced and competent to provide legal services in the jurisdiction of Governing Jurisdiction: and is willing to provide such services under the terms set forth herein; and

WHEREAS, the parties wish to set forth the scope, terms and conditions under which the Provider will perform requested legal services.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows.

1. SCOPE OF REQUEST

1.1 Engagement. The Requesting Party hereby engages the Provider to perform legal services limited to the following scope:

1.2 Exclusions. Services not expressly stated above shall not be provided unless agreed in writing by both parties. Any deliverables, filings, or appearances beyond the scope require a written amendment authorizing such work and any additional fees.

2. CLIENT REPRESENTATIONS

2.1 Authority. The Requesting Party represents and warrants that it has full authority to retain the Provider for the requested matter and to provide all information and documents necessary to the Provider's performance.

3. CONFIDENTIALITY

3.1 Treatment of Information. The Provider shall treat all non-public information supplied by the Requesting Party in connection with the requested legal services as confidential and shall not disclose such information except (a) as authorized in writing by the Requesting Party, (b) to third parties reasonably necessary for the provision of legal services (such as experts or consultants) who are bound to confidentiality, (c) as required by law, court order, or professional ethical obligations, or (d) where the information is or becomes public through no wrongful act of the Provider.

3.2 Exceptions. Confidentiality does not extend to information that was known to the Provider prior to disclosure, is publicly available, or is independently developed by the Provider without use of the Requesting Party's confidential information.

4. FEES, RETAINER AND BILLING

4.1 Fee Arrangement. The parties agree that work under this Request shall be billed as follows (select applicable):

4.2 Retainer. If required, the Requesting Party shall provide a retainer in the amount of $ to be held in trust and applied against final billed fees and expenses in accordance with applicable professional rules.

4.3 Billing and Payment. Provider will render periodic invoices describing work performed, timekeeper, hours, rates, and expenses. Payment shall be due within Payment Terms: of invoice receipt. Overdue amounts may bear interest as allowed by law.

5. CONFLICTS AND CONFLICTS CHECK

5.1 Conflicts. Provider shall perform a conflicts check upon receipt of this Request. If a material conflict is identified that would ethically preclude representation, Provider will notify Requesting Party and may decline or withdraw from representation consistent with professional obligations.

6. TERMINATION

6.1 Either party may terminate this Request upon written notice to the other. Upon termination, the Requesting Party shall pay Provider for all services performed and expenses incurred up to the effective date of termination in accordance with Provider's billing policies.

7. NOTICES

7.1 All notices required or permitted hereunder shall be in writing and delivered to the parties at the addresses set forth below or to such other address as a party may designate by written notice to the other. Notices shall be deemed given when personally delivered, on the date of receipt by electronic mail if confirmation is obtained, or three days after deposit with a nationally recognized overnight courier.

8. GOVERNING LAW

This Request shall be governed by and construed in accordance with the laws of Governing State: without regard to conflicts of law principles.

9. ENTIRE AGREEMENT

This Request, together with any attachments and written fee agreements executed contemporaneously, constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral.

10. SEVERABILITY

If any provision of this Request is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect and the invalid or unenforceable provision shall be reformed only to the extent necessary to make it enforceable.

11. AMENDMENTS; WAIVER; COUNTERPARTS

Any amendment to this Request must be in writing and signed by both parties. No waiver of any breach or default shall be deemed a waiver of any other breach or default. This Request may be executed in counterparts and by electronic signature, each of which shall be deemed an original and all of which together shall constitute one instrument.
