The request is limited to documents in Recipient's possession, custody, or control as of the date of this Letter and includes any documents reasonably accessible to Recipient's agents, affiliates, attorneys, or custodians.

2. PURPOSE, SCOPE, AND LIMITATIONS

The documents are requested for the legitimate legal purpose described in the matter reference above. Production pursuant to this Letter is for the specific purposes stated and does not constitute a waiver of any privilege or protection except as expressly set out herein. Recipient may assert claims of privilege or protection as permitted by law, provided such claims are made in accordance with Section 5.

4. FORMAT AND ORGANIZATION

Documents shall be produced in their native electronic format where feasible. For paper documents, produce true and correct legible copies. Electronically stored information shall be produced with searchable text where available, together with metadata fields reasonably requested by Requestor. If any document is redacted, Recipient shall provide a log describing the basis for redaction and identifying information sufficient to assess the claim.

5. CLAIMS OF PRIVILEGE OR PROTECTION

If Recipient withholds or redacts any document in whole or in part on the basis of privilege, work product protection, or other protection, Recipient shall promptly provide a privilege log identifying, at a minimum: document date, author, recipients, a general description of the document type, and the specific basis for the claim. The failure to timely provide a sufficient privilege log may constitute a waiver of the asserted protection.

6. COSTS, EXPENSES, AND PRODUCTION CHARGES

Unless otherwise agreed, Recipient may notify Requestor in advance of any reasonable, documented costs associated with duplication, restoration, or extraordinary retrieval. Requestor reserves the right to challenge any requested charges and to seek a cost allocation if appropriate. Proposed costs to be invoiced:

Production of documents pursuant to this Letter shall not be deemed a waiver of any privilege or protection except to the extent a court of competent jurisdiction determines otherwise. Recipient is directed to preserve all documents and electronically stored information that may be relevant to the matters described herein and to take reasonable steps to prevent loss or destruction of such materials.

8. REMEDIES; ENFORCEMENT

If Recipient fails to comply with the obligations set forth in this Letter, Requestor reserves all rights to pursue available remedies, including but not limited to filing motions to compel, seeking sanctions, and pursuing injunctive relief. The parties agree that irreparable injury may occur in the event of a breach of confidentiality or preservation obligations, entitling the non-breaching party to seek immediate equitable relief.

9. NOTICES

All notices or communications required or permitted under this Letter shall be in writing and delivered to the addresses set forth below (or such other address as a party designates in writing). Notice shall be effective upon receipt.

10. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Letter shall be governed by and construed in accordance with the laws of the jurisdiction specified here: , without regard to conflict of law principles. This Letter constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior communications and understandings. If any provision of this Letter is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
