RECITALS

WHEREAS, Party A and Party B each engage in activities, transactions, or the provision of goods or services that are subject to applicable statutory, regulatory, and administrative legal requirements (collectively, "Legal Requirements"); and

WHEREAS, the parties desire to set forth the obligations, certifications, notice procedures and remedies with respect to the identification, compliance, and continuing review of Legal Requirements applicable to their relationship.

WHEREAS, the parties will cooperate in good faith to identify applicable Legal Requirements, adopt reasonable compliance measures, and provide notice and remediation if Non-Compliance occurs.

NOW THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

1. DEFINITIONS

1.1 "Legal Requirements" means all statutes, regulations, rules, ordinances, administrative orders, and binding guidance applicable to the parties' activities under this Agreement, including jurisdictional tax, employment, environmental, privacy, anti-corruption and export control laws.

1.2 "Non-Compliance" means any material failure to perform a legal obligation required by Legal Requirements that could reasonably be expected to result in fines, penalties, suspension of operations or material reputational injury.

2. APPLICABLE LEGAL REQUIREMENTS

Each party shall identify and maintain a current, written list of Applicable Legal Requirements that reasonably relate to the services or goods provided under this Agreement. The following summary identifies the principal categories agreed by the parties:

3. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that, as of the Effective Date and throughout the term of this Agreement, it shall (i) maintain all licenses and registrations required by applicable Legal Requirements; (ii) not knowingly permit activities in violation of applicable anti-corruption, anti-money laundering, export control or privacy laws; and (iii) provide truthful and complete information in any submission made under this Agreement.

4. COMPLIANCE OBLIGATIONS

4.1 Each party shall adopt and implement reasonable policies, procedures and internal controls designed to achieve and demonstrate ongoing compliance with Applicable Legal Requirements relevant to its performance under this Agreement.

4.2 Each party shall designate a compliance contact and shall review compliance matters at least every or as otherwise required by changed Legal Requirements.

5. NOTICE OF CHANGES

5.1 If a party becomes aware of any change to Applicable Legal Requirements or any fact or circumstance likely to cause Non-Compliance, that party shall give prompt written notice to the other party within days of discovery, describing the change, the expected impact, and proposed corrective measures.

6. AUDIT & RECORDS

6.1 Each party shall retain records reasonably necessary to demonstrate compliance with Applicable Legal Requirements for a period of not less than unless a longer retention period is required by law.

6.2 Where permitted by law, and subject to reasonable confidentiality protections, a party shall allow the other party or its authorized representative to inspect records and audit compliance upon at least business days' prior written notice during normal business hours.

7. INDEMNIFICATION

7.1 Each party (the "Indemnitor") shall indemnify, defend and hold harmless the other party (the "Indemnitee") from and against any losses, liabilities, damages, fines, penalties and reasonable costs (including attorneys' fees) arising out of or resulting from the Indemnitor's breach of this Agreement or its Non-Compliance with Applicable Legal Requirements, provided that the Indemnitee gives prompt written notice of a claim and cooperates in the defense.

8. TERMINATION FOR NON-COMPLIANCE

8.1 If a party materially violates Applicable Legal Requirements and fails to cure such Non-Compliance within thirty (30) days after receipt of written notice from the other party specifying the breach, the non-breaching party may suspend performance or terminate this Agreement for cause in addition to any other remedies available at law or equity.

9. REMEDIES

Remedies provided in this Agreement are cumulative and in addition to any other remedies available at law or in equity. No remedy shall be deemed exclusive unless expressly stated.

10. NOTICES

All notices, requests, consents, claims, demands and other communications under this Agreement must be in writing and addressed to the parties at their respective notice addresses set forth below or such other address as a party may designate by written notice in accordance with this Section.

11. GOVERNING LAW; VENUE

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located within that State for disputes arising under this Agreement.

12. ENTIRE AGREEMENT; SEVERABILITY

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in full force and effect, and the parties shall negotiate an enforceable substitute provision reflecting the parties' intent.

13. AMENDMENT; WAIVER; COUNTERPARTS

Any amendment to this Agreement must be in writing and signed by authorized representatives of both parties. No failure or delay by a party to exercise any right shall operate as a waiver of that right. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

14. MISCELLANEOUS

The obligations and rights under this Agreement that by their nature should survive termination will survive, including obligations with respect to records retention, indemnification, and confidentiality. If any party requires further information about the Legal Requirements applicable to the relationship, the parties shall cooperate to provide reasonable detail in writing.
