LEGAL RESCISSION FORM

RECITALS

WHEREAS, the Parties entered into that certain agreement titled dated (the "Original Agreement");

WHEREAS, the Parties desire to rescind, terminate and discharge the Original Agreement in its entirety and to mutually release each other from all obligations arising under the Original Agreement on the terms and conditions set forth in this Agreement;

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the Parties agree as follows:

1. RESCISSION

1.1 Effective Date. The Parties hereby agree that the Original Agreement is rescinded, terminated and of no further force or effect effective as of (the Effective Date).

1.2 Scope of Rescission. Upon the Effective Date, all rights, duties, obligations and liabilities of the Parties under the Original Agreement shall be null and void, and each Party shall be restored, to the extent practicable, to the positions they occupied prior to execution of the Original Agreement, except as expressly provided otherwise in this Agreement.

2. RETURN OF CONSIDERATION

2.1 Return Obligations. Within days of the Effective Date, each Party shall return to the other Party all tangible and intangible property, documents and funds received pursuant to the Original Agreement. Specific items to be returned are identified as follows:

3. MUTUAL RELEASE

3.2 Exceptions. The release set forth in Section 3.1 shall not apply to claims arising from (a) fraud or intentional misrepresentation; (b) obligations expressly preserved by this Agreement; or (c) .

4. REPRESENTATIONS AND WARRANTIES

Each Party represents and warrants to the other that: (a) it has full power and authority to enter into this Agreement and to perform its obligations hereunder; (b) the execution and delivery of this Agreement has been duly authorized by all necessary corporate or other action; and (c) this Agreement constitutes a legal, valid and binding obligation enforceable against such Party in accordance with its terms.

5. CONFIDENTIALITY

5.1 Confidentiality Obligation. Except as required by law, the Parties agree to keep the terms of this Agreement and any negotiations confidential and not to disclose such information to any third party without the prior written consent of the other Party.

5.2 Carve-Outs. The confidentiality obligations shall not apply to disclosures to a Party's legal or financial advisors who are bound by confidentiality obligations or to the extent disclosure is required by law, provided that the disclosing Party gives the other Party prompt notice of any compelled disclosure.

6. COSTS AND FEES

Except as otherwise provided in this Agreement, each Party shall bear its own attorneys' fees, costs and expenses incurred in connection with the Original Agreement and the negotiation and execution of this Agreement. Any prevailing-party fee shifting shall apply only if expressly provided in writing in Section .

7. NOTICES

All notices and other communications required or permitted under this Agreement shall be in writing and shall be delivered to the addresses set forth below and shall be deemed given upon personal delivery, one business day after delivery to an overnight courier, or three business days after deposit in the U.S. mail, postage prepaid, unless otherwise agreed in writing.

8. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the internal laws of the jurisdiction of , without regard to choice-of-law rules that would apply the laws of another jurisdiction.

9. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to such subject matter.

10. SEVERABILITY

If any provision of this Agreement is held to be illegal, invalid or unenforceable, that provision shall be enforced to the maximum extent permitted by applicable law and the remaining provisions shall remain in full force and effect.

11. AMENDMENTS; WAIVER

No amendment, modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by the Parties. No failure or delay by any Party in exercising any right under this Agreement will operate as a waiver thereof.

12. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures transmitted by electronic means shall be deemed original signatures for all purposes.

MISCELLANEOUS

The Parties acknowledge that they have read this Agreement, understand its terms, and enter into it voluntarily and with full knowledge of its legal effect.
