This Reseller Certificate (the "Certificate") is made and entered into on by and between Seller: whose principal place of business is , and Reseller (Purchaser): whose principal place of business is .

Recitals

WHEREAS, Seller sells tangible personal property and/or taxable services that may, in the ordinary course of business, be sold either for resale or for consumption; and

WHEREAS, Purchaser is engaged in the business of reselling, leasing or otherwise disposing of the goods described below and holds a valid reseller permit or exemption for sales tax purposes issued in the jurisdiction of , permit number ; and

WHEREAS, Purchaser requests that Seller sell certain tangible personal property and/or services to Purchaser without charging sales or use tax on the ground that such items are purchased for resale.

NOW, THEREFORE, in consideration of the mutual covenants and promises set forth below, the parties agree as follows:

1. Certification of Resale

Purchaser hereby certifies that the tangible personal property and/or taxable services described in Section 3 below are purchased for resale in the regular course of its business. Purchaser affirms that such property will be resold by Purchaser in the form of tangible personal property or as an integral component of tangible personal property, and not consumed by Purchaser prior to resale.

2. Representations and Warranties

Purchaser represents and warrants that: (a) Purchaser is registered under the sales and use tax laws of the jurisdiction indicated above; (b) Purchaser will resell the property in the normal course of business; and (c) Purchaser will notify Seller if the basis for exemption ceases to exist. Seller may rely upon this Certificate until written notice of its revocation or alteration is received.

Purchaser shall promptly notify Seller in writing if Purchaser's reseller permit is suspended, revoked, or otherwise becomes invalid.

Seller may accept this Certificate in good faith and, unless otherwise notified in writing, may rely upon Purchaser's representations. Seller has no obligation to verify Purchaser's continuing eligibility beyond reasonable inquiry and documentation provided by Purchaser.

7. Tax Liability and Indemnification

If any taxing authority asserts that sales or use tax is due on purchases made under this Certificate and such assertion arises from Purchaser's actions, omissions or misrepresentation, Purchaser agrees to indemnify and hold Seller harmless for any taxes, interest, penalties and reasonable costs (including attorneys' fees) assessed against Seller as a result of such assertion.

Purchaser agrees to retain records supporting the purchases and resale transactions for the period required by applicable tax law and will, upon reasonable notice, permit Seller or an authorized taxing authority to inspect and copy such records during normal business hours.

9. Term and Termination

This Certificate remains in effect until revoked by Purchaser in writing. Seller may treat this Certificate as continuing and valid until Seller receives written notice of revocation, or until Seller has actual knowledge that the statements contained herein are no longer accurate.
