9. GOVERNING LAW

This Notice shall be governed by and construed in accordance with the laws of the state or jurisdiction specified below without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the courts located in that jurisdiction for disputes arising from this Notice.

10. ENTIRE AGREEMENT

This Notice constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes any prior oral or written agreements regarding Employee's resignation, except for any separate written agreements that expressly survive termination as provided therein.

11. SEVERABILITY
