What the Legal Resolution Specimen Is and when it’s used

A Legal Resolution Specimen is a formal, written template used by a board, committee, or authorized representative to record an official decision authorizing corporate or organizational action. It typically includes a caption, recitals, resolved clauses that specify powers or approvals, an effective date, and signature blocks for authorized signers; it may be used to open bank accounts, approve contracts, appoint officers, or authorize filings. In the United States, properly executed resolutions are relied on for third‑party acceptance and may be executed and retained electronically consistent with ESIGN and state UETA laws when statutory exceptions do not apply.

Why a clear specimen matters for legal and operational certainty

A precise Legal Resolution Specimen creates an auditable record of corporate authority, reduces ambiguity about who may act, and supports acceptance by banks, counterparties, and regulators. Clear language and correct signatory authority help avoid disputes, administrative delays, and compliance exposures under corporate governance and recordkeeping rules.

Why a clear specimen matters for legal and operational certainty

Typical users and organizational roles that prepare or rely on this specimen

Organizations use resolution specimens to document formal approvals required by bylaws, corporate charters, loan agreements, or regulatory filings.

  • Corporate boards and board secretaries preparing minutes and authorizations for material actions.
  • LLC managers and members documenting manager appointments, bank authorizations, or member approvals.
  • In‑house counsel and external attorneys verifying authority before closing transactions.

Use the specimen as part of the official corporate record; combine it with meeting minutes, consent forms, or written consents where required.

Who signs and certifies the resolution

Corporate Secretary

Often certifies copies of the resolution and attests to the authenticity of the corporate seal and signature blocks. The secretary maintains the corporate minute book and ensures internal governance requirements were followed.

Board Chair

May co‑sign or execute the resolution if bylaws authorize the chair to act. The chair’s signature confirms board approval and is used by banks and third parties to verify authority.

Common preparation errors to avoid

  • Using ambiguous language in resolved clauses that fails to specify limits, dollar amounts, or duration of authority.
