RECITALS

2. SPECIFIC AUTHORIZATIONS

The specific actions authorized by this Resolution include the following. If additional specificity is required, the authorized person shall record the action in contemporaneous corporate minutes or an executed instrument.

3. DELEGATION OF AUTHORITY

The board of directors, managers or other governing body hereby delegates to the named representative(s) of each party the authority to determine the final terms of any transaction contemplated by this Resolution, to execute documents and to perform acts consistent with the authority granted herein. Such delegation shall include the power to incur liabilities, to pay fees and expenses, and to take any ancillary actions necessary to effectuate the authorized transactions.

4. CONDITIONS PRECEDENT

The effectiveness of any action authorized by this Resolution is subject to the satisfaction or waiver of the following conditions precedent: (a) execution of any required agreements by the authorized officers; (b) delivery of certificates or approvals required by applicable law or the parties' governing documents; and (c) receipt of any third-party consents expressly required for the transaction. Any such condition may be waived in writing by the party entitled to the benefit of the condition.

5. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants to the other that (i) it is duly organized, validly existing and in good standing under the laws of its jurisdiction of organization; (ii) the execution and delivery of any document contemplated by this Resolution and the performance of its obligations thereunder have been duly authorized; and (iii) this Resolution and any documents executed pursuant hereto, when executed, will constitute valid and binding obligations enforceable in accordance with their terms.

6. NOTICES

Any notice required or permitted under this Resolution shall be in writing and shall be delivered to the addresses set forth below or to such other address as a party may designate by written notice given in accordance with this Section.

7. AMENDMENTS; WAIVER

This Resolution may be amended or modified only by a written instrument signed by duly authorized representatives of both parties. No failure or delay by a party in exercising any right under this Resolution shall operate as a waiver of that right, and no single or partial exercise of any right shall preclude any other or further exercise of that right.

8. COUNTERPARTS

This Resolution may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures provided by electronic means shall be deemed originals for all purposes.

9. GOVERNING LAW

This Resolution shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles.

10. ENTIRE AGREEMENT
