Respondent agrees to indemnify Requestor from losses directly resulting from a material misrepresentation in this Certificate, subject to limitation and proof requirements under applicable law.

8. CONFIDENTIALITY

This Certificate and any attached logs or methodology descriptions may contain confidential or privileged information. Return, destruction, or continued protection of such material shall be governed by any protective order in force or, absent such an order, by the parties' written agreement.

9. NOTICES

10. AMENDMENTS, WAIVER, AND COUNTERPARTS
