This Legal Responses Form (the "Form") is made and entered into as of Effective Date: Day Month Year between Client Name: (\"Client\") and Respondent Name: (\"Respondent\").

RECITALS

WHEREAS, Client has requested certain documents, information, and formal responses from Respondent relating to the matters described as: ; and

WHEREAS, Respondent has agreed to provide written responses, assert claims of privilege where applicable, and produce non-privileged documents in the manner and within the timeframes set forth herein; and

WHEREAS, the parties desire to set forth their respective obligations, certifications, and procedures for the exchange and handling of responses and produced materials.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

For purposes of this Form, the following definitions apply: (a) "Responses" means all written answers, objections, statements, and disclosures provided by Respondent pursuant to requests identified by Request Reference Number: ; (b) "Produced Materials" means documents, electronically stored information, and tangible things produced by Respondent pursuant to this Form; (c) "Privilege Log" means the written log describing any documents or information withheld on the basis of privilege or protection from disclosure.

2. SCOPE AND CONTENT OF RESPONSES

Respondent shall provide substantive Responses that: (i) admit or deny each discrete allegation or request, (ii) identify with reasonable particularity those documents responsive to each request, and (iii) state any factual or legal basis for objections. A summary of Responses is provided below.

3. TIMING AND FORMAT OF PRODUCTION

Unless otherwise agreed in writing, Respondent shall serve Responses and produce non-privileged Produced Materials within calendar days of the Effective Date. Productions shall be made in a reasonably usable format; if electronic, metadata shall be preserved to the extent practicable.

4. PRIVILEGE AND REDACTION

To the extent Respondent withholds documents or information on the basis of privilege or protection, Respondent shall promptly provide a Privilege Log identifying: (a) the document identifier, (b) the subject matter and date, (c) the basis for withholding (e.g., attorney-client privilege, work product), and (d) the parties or persons to whom the document was sent or from whom it was received. The Privilege Log shall be provided within calendar days of production.

5. CONFIDENTIALITY; USE OF PRODUCED MATERIALS

All Produced Materials shall be used solely for the purposes of litigation, settlement discussions, or regulatory proceedings related to the matter described above. Materials marked confidential by a producing party shall be treated in accordance with the parties' existing protective order or, absent such an order, in a manner consistent with applicable evidentiary and procedural rules.

6. REPRESENTATIONS AND WARRANTIES

Respondent represents and warrants that, to the best of its knowledge after a reasonable inquiry, the Responses are true and complete and that all responsive, non-privileged documents in Respondent's custody or control have been produced, except as described in the attached statement of limitations: .

7. PRESERVATION OF EVIDENCE

Each party shall preserve all relevant documents, communications, and electronically stored information that are reasonably likely to be relevant to the claims or defenses in the above-captioned matter. Failure to preserve such materials may give rise to remedies under applicable law.

8. INDEMNIFICATION

Each party agrees to indemnify and hold harmless the other party from any third-party claims, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from the indemnifying party's intentional misrepresentation in its Responses or willful failure to disclose material responsive information.

9. NOTICES

All notices, requests, and communications required or permitted under this Form shall be in writing and delivered to the addresses below by hand, registered mail, courier, or nationally recognized overnight carrier, and shall be effective upon receipt.

10. GOVERNING LAW

This Form shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles.

11. ENTIRE AGREEMENT; SEVERABILITY; AMENDMENT; WAIVER; COUNTERPARTS

This Form constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior understandings and agreements, whether written or oral. If any provision of this Form is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. This Form may be amended only by a writing signed by both parties. 12. MISCELLANEOUS CERTIFICATIONS

By signing below, each signatory certifies that: (a) the signatory is authorized to execute this Form on behalf of the party for whom they sign; (b) the Responses are true and correct to the signatory's knowledge after reasonable inquiry; and (c) the signatory will comply with the obligations set forth herein.
