RECITALS

WHEREAS, the Requesting Party has issued one or more formal requests for documents and information identified herein as FROGs, meaning Formal Requests for Official Governmental Records, seeking disclosure, inspection and/or production of documents, electronically stored information, and related materials; and

WHEREAS, the Respondent has possession, custody, or control of certain records and information potentially responsive to the FROGs and is required to state responses, objections and produce discoverable material as required by applicable law; and

1. DEFINITIONS

For purposes of this instrument: (a) "FROG" means any individual Formal Request for Official Governmental Records identified by date and subject; (b) "Responsive Document" means any document, tangible thing, electronically stored information or data reasonably likely to lead to the discovery of admissible evidence that is in the Respondent's possession, custody, or control and that is responsive to a FROG; and (c) "Privilege Log" means the written record identifying each document withheld on the basis of privilege or protection and stating the basis for withholding.

2. SCOPE AND TIMING OF RESPONSES

The Respondent shall serve written responses to each FROG within days of the Effective Date or receipt of a FROG, whichever is later, unless a specific calendar date is prescribed: . Responses shall state whether documents will be produced, whether documents are withheld (with legal basis), or whether a claim of privilege is asserted.

3. FORMAT AND PRODUCTION

Documents identified as responsive shall be produced in a reasonably usable, searchable format. Unless otherwise agreed in writing, electronic documents shall be produced as text-searchable PDF files with extracted text and associated metadata where feasible, and paper documents shall be produced as single-page or multi-page PDFs. The Respondent further certifies that any withheld material that is subsequently determined not to be privileged will be produced within a commercially reasonable time after such determination.

8. AMENDMENTS; WAIVER; COUNTERPARTS

Any modification or waiver of any provision of this instrument must be in writing signed by both parties. No failure or delay in exercising any right constitutes a waiver, and any waiver must be explicit and in writing. This document may be executed in counterparts, each of which shall be deemed an original and all of which together constitute one instrument.

9. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Agreement shall be governed by and construed in accordance with the substantive laws of the jurisdiction selected by the parties: , without regard to conflict of law principles. This instrument constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior discussions and agreements.
