RECITALS

WHEREAS, the Organization has responsibilities and duties in relation to internal governance, compliance, operations, or specific programs that require designation of accountable individuals or organizational units; and

WHEREAS, the Designating Party desires to designate and organize responsibilities so that authority, reporting lines, and accountability are documented, enforceable, and consistent with applicable policies and applicable contractual obligations; and

WHEREAS, the Parties intend by this Form to identify designated responsibilities, define the scope of authority, specify reporting and oversight obligations, and set out procedures for amendment and termination of such designations.

NOW, THEREFORE

In consideration of the mutual covenants contained herein, the Parties agree as follows:

1. DEFINITIONS

For purposes of this Form, the following terms shall have the meanings set forth below. "Designated Responsibility" means a specific duty, decision-making authority, or oversight obligation assigned by the Organization in writing. "Responsible Individual" means the natural person or organizational unit identified in Section 2 as charged with a Designated Responsibility.

The Organization hereby appoints the Responsible Individual or organizational unit to perform the Designated Responsibilities described in Section 3. The Parties shall complete the following designation fields:

4. AUTHORITY, LIMITATIONS AND DELEGATION

The Responsible Individual is authorized to take such actions as are reasonably necessary to perform the Designated Responsibilities, subject to the Organization's written policies and any limitations expressly set forth in this Form. The Responsible Individual may delegate specific functions in writing but shall remain accountable for performance unless the Parties execute a written reassignment or amendment.

5. REPORTING, RECORDS AND REVIEW

The Responsible Individual shall maintain contemporaneous records of actions taken under this designation and shall provide periodic written reports to the Organization's oversight authority at intervals of Reporting Interval: or as otherwise requested. The Organization reserves the right to audit compliance with the duties set forth herein.

6. TRAINING, RESOURCES AND SUPPORT

The Organization shall provide reasonable training and resources necessary to the Responsible Individual to perform the Designated Responsibilities. Any request for additional resources shall be documented and submitted to the Organization's designated budget authority in writing.

7. CONFIDENTIALITY AND DATA PROTECTION

The Responsible Individual shall treat as confidential all non-public information accessed or created in connection with these duties and shall comply with the Organization's confidentiality, records retention, and data protection policies. Disclosure of confidential information is permitted only as required by law or authorized in writing by the Organization.

8. INDEMNIFICATION AND LIMITATION OF LIABILITY

Each Party shall indemnify and hold harmless the other Party from claims arising from the indemnifying Party's breach of this Form, negligence, or willful misconduct. Neither Party shall be liable for incidental or consequential damages except to the extent such damages arise from gross negligence or willful misconduct.

9. TERM AND TERMINATION

This Form shall commence on the Effective Date and shall continue until terminated by mutual written agreement of the Parties or by either Party upon thirty (30) days' prior written notice to the other Party. Termination shall not relieve a Party of obligations accrued prior to termination.

10. NOTICES

All notices, requests, consents and other communications required or permitted under this Form shall be in writing and delivered to the addresses below or to such other address as a Party may designate by written notice.

11. AMENDMENTS; WAIVER

This Form may be amended only by a written instrument executed by duly authorized representatives of both Parties. No waiver of any provision of this Form shall be effective unless in writing and signed by the Party against whom the waiver is sought to be enforced.

12. GOVERNING LAW

This Form shall be governed by and construed in accordance with the laws of Governing Jurisdiction: without regard to conflict of law principles.

13. ENTIRE AGREEMENT

This Form constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations and communications, whether oral or written.

14. SEVERABILITY

If any provision of this Form is held to be invalid, illegal or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect to the fullest extent permitted by law.

15. COUNTERPARTS

This Form may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Facsimile or electronically transmitted signatures shall be effective as originals.
