What a Legal Retain Letter Is and When It’s Used

A Legal Retain Letter is a written engagement that documents the client–lawyer relationship, scope of work, and terms under which legal services will be provided. It establishes the attorney’s responsibilities, the client’s obligations, fee arrangement, confidentiality and file-retention expectations, and any limits on representation. The letter creates a clear record for both parties and serves as evidence of consent and scope if disputes arise. In many matters the retain letter begins work and triggers billing, conflict checks, and file management procedures.

Why a Clear Retain Letter Matters

A precise retain letter reduces misunderstandings about responsibilities, limits ethical risk, documents consent, and preserves evidence of engagement.

Why a Clear Retain Letter Matters

Who Typically Prepares or Signs a Legal Retain Letter

The retain letter should be signed by the party with contractual authority; for corporations that is usually an officer or authorized procurement representative.

  • Law firm intake coordinators and partners handling client onboarding and conflicts checks.
  • Corporate legal departments and in-house counsel for outside counsel engagements.
  • Individual clients or authorized business officers who accept engagement terms and fee arrangements.

Essential Sections to Include in a Professional Retain Letter

A complete retain letter organizes the engagement into clear sections so responsibilities, fees, and end-of-client relationship actions are unambiguous.

Parties

Identify the client and the law firm (legal entity names and business addresses). Specify any third parties or guarantors involved and clarify who is the contracting party for fees and communications.

Scope

Describe the legal services to be provided with specific tasks, excluded services, and any deliverables. Tie scope to discrete matters or phases to avoid scope creep.

Fees and Billing

State fee structure (hourly, flat, contingency), billing intervals, retainer amount, escrow handling, expense reimbursement, and consequences for nonpayment.

Conflicts and Limits

Confirm conflicts checks are complete, disclose any potential conflicts, and list limits on representation such as jurisdictional or subject-matter exclusions.

Confidentiality

Affirm attorney–client privilege and data handling practices, including whether encrypted or electronic communications are permitted and any HIPAA or privacy addenda required.

Termination and Retention

Explain termination rights, post-engagement duties, file retention period, and procedure for delivering or destroying client records at the end of representation.

Step-by-Step: Completing and Executing a Retain Letter

Follow a consistent sequence to prepare, approve, and preserve the signed retain letter for client files and auditability.

  • 01
Prepare Draft: Populate parties, scope, fees, and dates using firm template language.
  • 02
Review Internally: Have conflicts and fee approver sign off before sending to client.
  • 03
Send to Client: Deliver the draft via secure channel and include consent disclosure for electronic records when needed.
  • 04
Execute & Retain: Collect signatures, store the signed copy, and begin billing per the effective date.

Typical Workflow for Issuing a Legal Retain Letter

A retain letter workflow covers preparation, client acceptance, signature capture, and secure archiving to ensure evidence of engagement.

  • Draft: Create using an approved template with required fields prefilled where possible.
  • Authorize: Obtain internal approvals for fees and conflict waivers before external delivery.
  • Sign: Collect client signature by hand, remote notarization, or compliant eSignature method.
  • Archive: Store signed copy in secure records with audit trail and retention metadata.

Technical Considerations for Electronic Completion and Delivery

Ensure the chosen solution can produce a tamper-evident signed PDF and an exportable audit trail for retention and discovery.

  • Integrations: Salesforce | NetSuite | Google Workspace compatibility
  • File Formats: PDF, Word DOCX, HTML accepted
  • Authentication: Email, SMS, and advanced signer options

Key Timing and Deadlines to Track

Track effective dates, acknowledgment deadlines, billing start, and periodic review dates to maintain compliance and client expectations.

Effective Date:

Enter MM/DD/YYYY; governs when fees and obligations commence

Client Acknowledgment:

Request signed acceptance within 7–14 days of delivery

Retainer Applied:

Apply retainer on the effective date or first invoice, per letter terms

Annual Review:

Review engagement terms annually for long-running matters

Conflict Recheck:

Re-run conflicts before major new matter phases

Security and Compliance Items to Document When Using Electronic Methods

In-transit Encryption: TLS 1.2/1.3 in transit
At-rest Encryption: AES-256 encryption at rest
Audit Trail: Tamper-evident logs with timestamps
HIPAA Support: HIPAA compliant with BAA required
Regulatory Standards: SOC 2 Type II and ISO 27001
ESIGN/UETA: Compliant with ESIGN and UETA

Consequences of an Incomplete or Incorrect Retain Letter

Enforceability Risk: Representation scope may be disputed
Fee Disputes: Client may challenge billing or retainer use
Ethics Violations: Potential bar discipline risk for inadequate disclosures
Confidentiality Lapse: Improper privacy terms may breach obligations
Discovery Exposure: Missing records can impede litigation defense
Regulatory Noncompliance: Failure to meet industry rules (HIPAA, GLBA)

Common Mistakes to Avoid When Preparing a Retain Letter

  • Using vague scope language such as 'all matters' without defining specific tasks, which creates scope disputes and unexpected fee claims.
  • Failing to document who is authorized to sign for an entity; unsigned or improperly authorized agreements can be unenforceable.
  • Neglecting to include or obtain required consumer disclosures when electronic consent is used for consumer-facing engagements.
  • Keeping only email acknowledgments without a consolidated signed record and audit trail, increasing risk in discovery or enforcement.

Practical Examples of Retain Letters in Use

Two real-world examples illustrate how firms document engagements and rely on signed retain letters to manage risk and workflow.

BIS (CEO Example)

When BIS implemented a standardized retain letter across matters, intake inconsistency dropped and approvals sped up.

  • The change centralized terms and required an internal sign-off.
  • Dan Rotelli, CEO of BIS, noted the firm chose a SOC 2–compliant platform to ensure record integrity and consistent ESIGN/UETA adherence across engagements.

Fertility Center (Founder Example)

A healthcare practice integrated retain letters with privacy addenda to protect PHI and clarify billing.

  • Addenda required a BAA and explicit consent language.
  • John Butler, Founder of Fertility Centers of Illinois, reported better audit readiness and clearer client communications after standardizing retain letters.
