This Legal Retainer Addendum ("Addendum") is entered into as of by and between Client Name: and Attorney/Firm Name: .

RECITALS

WHEREAS, Client and Attorney entered into a written retainer agreement dated (the "Retainer Agreement") governing the scope, fees, and other terms of legal representation; and

WHEREAS, the parties desire to amend certain terms of the Retainer Agreement to address additional services, adjusted fees, and payment arrangements as more fully set forth below; and

WHEREAS, the parties intend that this Addendum modify the Retainer Agreement only as expressly provided herein and that all other terms of the Retainer Agreement remain in full force and effect.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. Amendment to Scope of Representation

1.1 The parties hereby amend the Retainer Agreement to include the following additional services:

1.2 The Attorney shall perform the additional services in a manner consistent with applicable professional standards. Any task outside the scope described above will require a written modification in accordance with Section 10 of this Addendum.

2. Fees and Billing

2.2 Time shall be recorded and billed in increments of not greater than one-tenth of an hour. Attorney shall provide invoices itemizing services rendered, time expended, and expenses incurred. Payment of undisputed amounts is due within the billing terms specified above. Late payments may incur interest at the lesser of 1.5% per month or the maximum rate permitted by law.

3. Retainer and Trust Funds

3.1 Client shall deliver an additional retainer in the amount of $ , which shall be held in Attorney's trust account and applied to fees and expenses in accordance with applicable law.

3.2 The Attorney's obligation to continue representation under the amended terms is contingent upon receipt of the retainer described above. The Attorney shall provide a final accounting and any balance due or refundable upon conclusion of the matter or termination of representation.

4. Expenses and Disbursements

4.1 Client shall reimburse Attorney for reasonable and necessary out-of-pocket expenses incurred in the course of representation, including but not limited to filing fees, expert fees, courier, travel, and photocopying. Attorney may require advance deposits for estimated expenses.

5. Conflicts, Confidentiality, and Conflicting Representations

5.1 By executing this Addendum the Client confirms that Client has disclosed all material facts reasonably known to Client that could give rise to a conflict of interest. Attorney represents that Attorney has made reasonable inquiry and is not presently aware of a disqualifying conflict for the amended scope.

5.2 All communications made in the course of representation shall remain confidential to the fullest extent permitted by law. Attorney may seek Client's informed consent before disclosing privileged information or when encountering a potential conflict.

6. Term and Termination

6.1 Unless earlier terminated in accordance with the Retainer Agreement or this Addendum, the amendments set forth herein shall remain in effect until the completion of the additional services described in Section 1 or until terminated by either party upon written notice.

6.2 Termination shall not relieve Client of the obligation to pay for services rendered and expenses incurred prior to the effective date of termination, and Attorney shall be entitled to a reasonable charge for transition and file transfer work.

7. File Retention and Client Materials

7.1 Upon conclusion of the matter or termination, Attorney may, after providing reasonable notice, destroy file materials as permitted by law unless Client requests delivery of physical or electronic files and makes payment of any outstanding fees and costs.

8.1 All notices required or permitted under this Addendum shall be in writing and delivered to the addresses set forth below or to such other address as a party may designate by written notice:

9.1 This Addendum may be amended only by a written instrument signed by both parties. No course of dealing or failure to enforce any right shall constitute a waiver of that right. Any waiver must be expressly set forth in writing.

9.2 This Addendum may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures delivered by electronic means shall be deemed effective for all purposes.

10. Governing Law; Entire Agreement; Severability

10.1 Governing Law. This Addendum shall be governed by and construed in accordance with the laws of the State of without regard to principles of conflicts of law.

10.2 Entire Agreement. Except as expressly modified by this Addendum, the Retainer Agreement remains in full force and effect. This Addendum and the Retainer Agreement, taken together, constitute the entire agreement between the parties with respect to the amended matters.

10.3 Severability. If any provision of this Addendum is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect and the invalid provision shall be reformed to the minimum extent necessary to make it enforceable.

11. Additional Provisions

11.1 Conflict Resolution. The parties agree to attempt in good faith to resolve any dispute arising under or related to this Addendum by negotiation. If negotiation fails, the parties may pursue mediation or arbitration only if they mutually agree in writing; otherwise, either party may pursue any available judicial remedy.

11.2 Acknowledgment. Client acknowledges receipt of a copy of this Addendum and understands the changes to the Retainer Agreement described herein. Client further acknowledges the opportunity to seek independent legal advice prior to signing.
