LEGAL RETAINER AGREEMENT

This Legal Retainer Agreement (the Agreement) is entered into as of by and between Client Name: and Law Firm Name: .

RECITALS

WHEREAS, Client desires to retain the Firm to provide legal services as described in this Agreement and the Firm is willing to provide such services under the terms set forth herein.

WHEREAS, the parties intend to set forth their respective rights and obligations with respect to the scope of engagement, fees, billing and termination.

WHEREAS, Client acknowledges that the Firm has made no guarantees regarding the outcome of any matter and that any estimates of fees or time frames are not guarantees.

NOW THEREFORE, in consideration of the mutual covenants contained herein, and intending to be legally bound, the parties agree as follows:

1. SCOPE OF ENGAGEMENT

1.1 Engagement. Client hereby engages the Firm to provide legal services described as:

1.2 Exclusions. The Firm will not provide services outside the Scope of Engagement unless the parties execute a written amendment. The Firm may engage subcontractors or counsel as reasonably necessary and will remain responsible for supervising such persons.

2. RETAINER, FEES AND BILLING

2.1 Retainer. Client shall pay an initial retainer in the amount of to be held in the Firm's client trust account and applied to billed fees and costs in accordance with this Agreement.

2.2 Hourly Rates. Unless otherwise agreed in writing, services will be billed at the following hourly rates: Lead Attorney per hour; Associate per hour. These rates may be adjusted on reasonable notice.

2.3 Billing and Payment. The Firm will render itemized invoices at least , showing fees, expenses and retainer application. Payment is due within days of invoice. Unpaid balances bear interest at the rate of .

3. CLIENT COOPERATION AND AUTHORIZATIONS

3.1 Cooperation. Client agrees to provide truthful information and to cooperate fully with the Firm, including providing documents and access to personnel as reasonably requested. Delays attributable to Client may result in pause of work and continued billing.

3.2 Authorizations. Client authorizes the Firm to take such actions on Client's behalf as are reasonable and customary to the representation, including filing documents, communicating with third parties and incurring necessary expenses.

4. CONFLICTS, CONFIDENTIALITY AND PRIVILEGE

4.1 Conflicts. The Firm represents that it has performed a conflicts check and, except as disclosed in writing to Client, currently has no conflicts that would preclude representation. Client agrees to disclose any facts that may give rise to a conflict.

4.2 Confidentiality and Privilege. The Firm will maintain confidentiality of Client information subject to applicable rules of professional conduct. Communications between Client and the Firm are protected by the attorney-client privilege except where disclosure is authorized or required by law.

5. TERM AND TERMINATION

5.1 Term. This Agreement commences on the Effective Date and continues until the completion of the services or earlier termination under this Section.

5.2 Termination. Either party may terminate representation upon written notice. Client remains responsible for all fees and costs incurred through the effective date of termination, and the Firm may retain portions of the retainer to cover outstanding balances.

6. FILE RETENTION

Upon conclusion of the matter and after final billing, the Firm may, in its discretion, store or destroy original files and documents in accordance with its file retention policies. Client may request return of original documents; the Firm may charge reasonable copying and handling fees.

7. LIMITATION OF LIABILITY; INDEMNIFICATION

7.1 Limitation of Liability. Except for willful misconduct or gross negligence, neither party shall be liable to the other for special, incidental or consequential damages arising from this Agreement.

7.2 Indemnification. Client agrees to indemnify and hold the Firm harmless from claims, liabilities or expenses arising from Client's misrepresentations, omissions or acts outside the scope of this engagement, except to the extent caused by the Firm's gross negligence or willful misconduct.

8. DISPUTE RESOLUTION

The parties agree that disputes arising under this Agreement shall be resolved first by good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration upon mutual agreement, or otherwise litigated in courts of competent jurisdiction as set forth in the Governing Law clause below.

9. NOTICES

All notices required or permitted hereunder shall be in writing and delivered to the addresses set forth below or to such other address as either party may designate in writing.

10. AMENDMENT; WAIVER; COUNTERPARTS

Any amendment to this Agreement must be in writing and signed by both parties. Failure to enforce any provision shall not constitute waiver of that or any other provision. This Agreement may be executed in counterparts, each of which shall be an original and all of which shall constitute one instrument.

11. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Agreement shall be governed by and construed in accordance with the laws of the state selected by the parties: . This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings. If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12. MISCELLANEOUS
