What the Legal Retainer Agreement RA11373 Is

The Legal Retainer Agreement RA11373 is a standardized contract documenting the engagement between a client and an attorney or law firm. It sets out scope of services, fee arrangement, retainer deposit handling, billing and termination terms, and confidentiality provisions. The agreement records responsibilities, payment terms, dispute resolution, and client intake details so both parties have a clear written record of the attorney-client relationship and the conditions under which legal work will proceed.

Why a Clear Retainer Agreement Matters

A written retainer reduces misunderstandings about scope, fees, and billing and provides evidence of consent and delegation. It helps manage client expectations and protects both parties in disputes while supporting compliance with professional conduct rules and recordkeeping obligations.

Why a Clear Retainer Agreement Matters

Who Typically Completes This Retainer

The agreement supports ethical compliance, audit trails, and billing transparency for fee disputes and regulatory inquiries.

  • Solo attorney — new client intake and fee terms for individual practice.
  • Law firm billing — defines hourly, flat, or contingency fee arrangements.
  • In-house counsel — documents external counsel engagement or special projects.

Core Sections to Include in RA11373

A professional retainer clearly defines responsibilities, fees, client obligations, confidentiality, dispute resolution, file retention, and signature blocks to reduce ambiguity.

Parties

Identify each party by full legal name and entity type so there is no ambiguity about who is contracting.

Scope

Describe specific services, exclusions, deliverables, and milestones to limit scope creep and guide billing.

Fees

State fee structure (hourly, flat, contingency), billing increments, retainer amount, and how unearned funds will be handled.

Payment Terms

Include billing cycle, accepted payment methods, interest on overdue balances, and responsibility for expenses and taxes.

Confidentiality

Set client confidentiality obligations, exceptions required by law, and data protection measures for sensitive information.

Termination

Explain grounds for termination, notice requirements, final accounting, and disposition of client files after engagement ends.

Track dates that affect billing, termination, and fund handling to avoid disputes and compliance gaps.

Common Preparation Mistakes to Avoid

  • Leaving fee terms vague, leading to post-engagement disputes over billing and scope.
  • Failing to state retainer handling and trust account rules for client funds.
  • Using initials instead of full signatures when agreement requires full party execution.
  • Neglecting to keep an audit trail when completing electronically, weakening evidentiary value.

Risks and Consequences of an Incomplete Agreement

Fee Disputes: Client may contest charges
Ethics Violations: State bar may investigate
Trust Account Errors: Possible discipline and restitution
Evidence Weakness: Unsigned terms may be unenforceable
Delayed Work: Work may be paused without deposit
Regulatory Risk: Noncompliance with record rules

Authorized Signers for the Agreement

Client — Primary Contact

The client or authorized company representative must sign with full legal name and title; for entities include a capacity statement to show authority to bind the business in the retainer.

Attorney — Lead Counsel

An attorney authorized by the firm should sign and date, and the firm should maintain a copy in its matter management system tied to billing records and trust accounting.

Practical Examples of Retainer Workflows

Two brief examples show how firms use electronic retainers for effective intake and recordkeeping.

Optica Ventures

Optica’s legal team used an e-signed retainer for new project engagements

  • Single retainer template reduced intake friction
  • The team retained execution metadata for billing disputes and integrated the signed file with matter accounting for auditability.

Fertility Centers of Illinois

A healthcare legal team standardized retainer language and HIPAA handling provisions

  • Template included data-handling addendum
  • The firm stored signed retainers with access controls and audit trails to meet compliance and client privacy requirements.

Practical Tips for Accurate and Efficient Completion

Adopt consistent templates, clear language, and documented workflows to reduce errors and disputes.

Use Plain Language
Write scope and fees in short, concrete sentences so clients understand obligations and limits without legalese that can cause confusion.
Standardize Templates
Maintain one canonical retainer template with approved clauses and a change-control process to ensure ethical and billing consistency across matters.
Record Financial Handling
Document trust account procedures, retainer application rules, and final accounting practices to satisfy state bar trust-account audits.
Keep an Audit Trail
Store signed copies with timestamps, IP addresses, and signer authentication logs to support enforceability under ESIGN and UETA.
