What the Legal Retainer Fee Addendum Is and when it’s used

A Legal Retainer Fee Addendum is a supplemental agreement attached to an engagement letter or representation agreement that documents the amount, application, and handling of a legal retainer. It clarifies whether the retainer is earned, refundable, or a trust deposit, establishes billing and replenishment procedures, and specifies how unused funds will be returned or applied at the end of representation. The addendum often includes dispute resolution language and references to the main engagement terms so that fee handling is clear to the client and counsel and reduces billing disputes later.

Why including a Retainer Fee Addendum matters

A clear addendum reduces confusion about billing, documents the parties’ expectations, and supports trust accounting compliance. It protects both client and attorney by defining ownership of funds, replenishment triggers, and end-of-engagement procedures.

Key components every professional addendum should include

Refund Procedures

Describe timing and method for refunds of unearned amounts at matter close, and any deductions for outstanding fees or costs.

Recordkeeping Rights

State that the firm will provide accounting of retainer use upon request and frequency of account statements.

Dispute Resolution

Include governing law, whether arbitration applies, and how billing disputes are elevated to avoid uncertainty.

Client ID: Client number or matter code
Trust Account: Account name and bank details
Retainer Amount: Precise dollar value
Effective Date: MM/DD/YYYY format
Signature: Typed or eSigned name with date
Billing Rules: Written application and replenishment terms

Common legal and financial risks from an incorrect addendum

Trust Violations: Misclassifying funds risks bar discipline
Refund Disputes: Ambiguous refund terms create client litigation risk
Accounting Errors: Poor documentation leads to reconciliation failures
Regulatory Audit: Inadequate records trigger audits by state bar or regulators
Breach of Fiduciary Duty: Improper use of client funds can lead to malpractice claims
Tax Reporting: Incorrect revenue recognition affects tax filings

Frequent preparation errors to avoid

  • Failing to state whether the retainer is earned on receipt versus applied as billed, which changes trust accounting and client refund rights.
  • Using vague replenishment language such as 'reasonable' threshold without numeric triggers, producing administrative disputes when the balance falls.
  • Omitting a clear effective date or using inconsistent names for the client or firm, leading to banking and reconciliation delays.
  • Not aligning the addendum to the primary engagement letter so the two documents contain conflicting billing or termination terms.
