What the Legal Retainer & Fee Sheet Is and When It Applies

The Legal Retainer & Fee Sheet documents the engagement terms between a lawyer or law firm and a client, recording the initial retainer deposit, hourly or flat billing rates, invoicing schedule, and expense reimbursement policy. It identifies the scope of services, any capped or contingency fees, trust account handling, and the conditions under which the client or attorney may terminate representation. The form creates a clear payment record for billing, trust accounting, client communications, and file retention, and is commonly attached to the client file for auditing and tax reporting purposes.

Why a Clear Retainer & Fee Sheet Matters for Both Sides

A written retainer sheet reduces disputes by documenting fees, payment timing, and responsibilities. It supports ethical billing practices, aids trust-account compliance, and provides a defensible record for audits, tax reporting, or client inquiries.

Why a Clear Retainer & Fee Sheet Matters for Both Sides

Who Typically Prepares and Receives This Document

Use this form at engagement, when fee arrangements change, or before any billable work begins to ensure mutual understanding and documentation.

  • Small law firms — standardize client intake, billing, and trust accounting across matters.
  • Corporate legal departments — document outside counsel arrangements and cost allocation rules.
  • Individual clients — confirm payment expectations and dispute resolution terms before work begins.

Key Roles and Who Signs the Sheet

Attorney (Managing Partner)

The attorney or authorized firm representative signs to accept the engagement under the stated rates and trust-account procedures. Their signature confirms the firm’s billing practices and who will perform work, and creates enforceable obligations under the engagement terms.

Client (Individual/Organization)

The client signs to acknowledge understanding of fees, retainer handling, and billing cycles. For organizations, an authorized officer or purchasing agent must sign and provide billing and tax identification details to avoid payment delays.

Essential Sections Every Professional Retainer & Fee Sheet Should Include

A professional retainer sheet is concise but complete: identify parties, define scope, state fee mechanics, explain trust handling, set invoicing cadence, and include signature blocks with dates.

Engagement Scope

Describe the matter in specific terms, list excluded services, and reference any attached scope exhibits or task lists to avoid ambiguity in billing.

Retainer Amount

Specify the initial deposit, whether it is refundable or earned on receipt, and how it will be applied to invoices or trust accounting.

Billing Rates

List hourly rates by role or flat fees, state minimum billable increments, and whether expenses are billed separately or included in hourly rates.

Invoicing and Payment

State invoice frequency, acceptable payment methods, late fee terms, and when interest or collections procedures will apply.

Trust Account Handling

If client funds are held in trust, explain deposit accounting, reconciliation frequency, and conditions for returning unused funds.

Termination and Refunds

Explain how termination is effected, which fees are earned, how final billing is calculated, and any notice required to close the matter.

Follow these steps in order to create a clear, enforceable retainer record.

  • 01
Collect IDs: Obtain client name, business entity details, and billing address.
  • 02
Define Scope: Write a specific description of work and any excluded services.
  • 03
Set Fees: Enter retainer deposit, rates, increments, and payment terms.
  • 04
Sign & File: Get signatures, date the form, and store in the client file.

Use a repeatable workflow so every engagement collects the same fields and preserves an audit trail.

Field Configuration

Conditional Fields Show payment or trust fields only when applicable
Audit Trail Capture timestamps, IP addresses, and signer attribution

Digital Signing Flow for a Complete, Trackable Record

A consistent digital flow reduces errors and records each step for compliance and client transparency.

  • Upload Document: Add the retainer PDF or DOCX to the signing platform
  • Place Fields: Insert signature, initials, date, and payment fields where required
  • Send to Signer: Deliver via email or share a secure signing link
  • Store Evidence: Platform captures completed PDF plus the audit trail

Technical and Integration Considerations for eSigning

Confirm vendor compliance capabilities (HIPAA, SOC 2, ESIGN/UETA) and that signed PDFs include an exportable audit trail.

  • File Formats: PDF, DOCX supported for upload and export
  • Integrations: Connectors for NetSuite, Salesforce, Microsoft 365, Google Workspace

03

Ongoing Billing

Consequences and Common Legal Risks to Avoid

Fee Disputes: Client complaints and collection risk
Missing Signature: Enforceability challenges for payment terms
Incorrect TIN: Triggers backup withholding and reporting issues
Trust Mismanagement: Ethics violations and potential discipline
Late Invoicing: Damages rights to timely collection
Data Exposure: Client confidentiality breaches and regulatory risk

Frequent Preparation Mistakes to Watch For

  • Vague scope descriptions that create disagreements over billable work and out-of-scope fees.
  • Using nonstandard abbreviations or mismatched client names that delay invoicing and tax reporting.
  • Failing to indicate whether the retainer is refundable, which leads to disputes at matter closeout.
  • Omitting payment methods or late-fee rules that hinder timely collections and cash flow management.
