LEGAL RETAINER INCREASE FORM

RECITALS

2. APPLICATION OF FUNDS

2.1 Purpose. 3.2 Designation of Non-Refundable Fee. The parties agree that a portion of the retainer may be designated as non-refundable. Designated Non-Refundable Amount: . If no amount is specified, the increased retainer shall be presumed fully refundable subject to deduction for billed services and costs.

3.3 Accounting. Attorney shall provide Client periodic statements reflecting charges against the retainer, disbursements, and the balance on hand. Client may request a final account upon termination of representation.

4. TERMINATION; EFFECT ON RETAINER

4.1 Termination Rights. Either party may terminate the engagement as provided in the underlying Retainer Agreement or by applicable law. Termination shall not relieve Client of the obligation to pay for all services rendered and costs advanced through the effective date of termination.

4.2 Application Upon Termination. Upon termination, Attorney shall prepare a final statement, apply the retainer against outstanding balances, refund any unearned portion of the retainer, and take reasonable steps to protect Client’s interests consistent with professional obligations.

5. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the parties at the addresses set forth below. Delivery by electronic mail is permitted where expressly agreed by the parties, but receipt by the recipient is required to be effective.

6. AMENDMENT; WAIVER

6.1 Amendment. This Agreement may be amended only by a written instrument signed by both parties. Any purported oral modification shall be void.

6.2 Waiver. Failure or delay by either party to enforce any provision shall not operate as a waiver of that provision or of any other provision, unless a written waiver is executed by the party granting the waiver.

7. GOVERNING LAW; DISPUTE RESOLUTION

7.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the Jurisdiction State: without regard to its conflicts of law principles.

8.2 Severability. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect and the parties shall negotiate in good faith a valid substitute provision that most nearly effects the original intent.

9. COUNTERPARTS; ELECTRONIC SIGNATURES

9.1 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.

9.2 Electronic Signatures. Signatures delivered by electronic means (for example, scanned signature, PDF signature, or other electronic signature methods) shall be effective and binding to the same extent as original signatures.
