LEGAL RETAINER INTAKE FORM

This Legal Retainer Intake Form (Effective Date: ) is entered into by and between Law Firm Name: and Client Name: for the purpose of establishing the terms of engagement described below.

RECITALS

WHEREAS, the Client has requested that the Law Firm provide legal services in connection with the matter described as: ;

WHEREAS, the Law Firm has represented that it has the experience and qualifications to undertake such representation and is willing to do so under the terms set forth herein;

WHEREAS, the parties desire to reduce their agreement to writing to memorialize the scope, fees, retainer handling, and other material terms of the attorney-client relationship;

NOW, THEREFORE, in consideration of the mutual promises contained herein, the parties agree as follows:

1. SCOPE OF ENGAGEMENT

1.1 Engagement. The Law Firm is retained to provide legal services limited to the matter described above and to perform such additional tasks as the parties may agree in writing. Services outside the defined scope, including but not limited to appeals, separate litigation, or administrative proceedings not expressly covered, will require a separate written agreement or an amendment to this agreement.

1.2 Client Instructions and Cooperation. The Client shall provide timely instructions, full disclosure of material facts, documents, and access to witnesses and shall cooperate with the Law Firm. The Client acknowledges that failure to cooperate may result in suspension or termination of representation.

2. FEES, RETAINER AND BILLING

2.1 Fee Structure. The Client agrees to compensate the Law Firm as follows (select or specify):

Invoices will be rendered and are due within days of invoice. Client is responsible for reasonable costs and expenses incurred in the representation, including filing fees, courier, deposition, expert, and travel expenses.

3. TRUST ACCOUNT AND RETAINER HANDLING

3.1 Trust Handling. The retainer will be deposited in a client trust account and drawn upon as fees and expenses are earned or incurred. Client funds will not be commingled with firm operating funds. Any unearned portion of the retainer upon conclusion of representation will be promptly refunded to the Client after final accounting.

4. CONFLICTS, PRIVILEGE AND CONFIDENTIALITY

4.2 Confidentiality and Privilege. The Law Firm shall maintain the confidentiality of communications to the extent required by law and professional rules. 5. TERMINATION AND WITHDRAWAL

Either party may terminate the engagement upon written notice. Upon termination, the Client remains responsible for all fees and costs incurred prior to termination, including reasonable wind-up costs. The Law Firm may withdraw in accordance with professional obligations where withdrawal is permitted or required.

6. RECORDS, FILE RETENTION AND DOCUMENTS

The Law Firm will retain client files consistent with its file retention policy. At the conclusion of representation, original documents provided by the Client will be returned upon request. The Law Firm may destroy files after a reasonable retention period unless otherwise instructed by the Client in writing.

7. LIMITATION OF LIABILITY AND INDEMNIFICATION

To the extent permitted by law, the Law Firm's liability for damages arising out of this engagement shall be limited to direct damages and shall not include consequential, incidental, or punitive damages. Client agrees to indemnify and hold the Law Firm harmless from liabilities arising from Client's misrepresentations or willful misconduct.

8. NOTICES

All notices shall be in writing and effective upon receipt at the addresses provided above or at such other address as a party may designate in writing.

9. AMENDMENTS, WAIVER, COUNTERPARTS

This Agreement may be amended only by a writing signed by both parties. No waiver of any provision hereof shall be effective unless in writing. The Agreement may be executed in counterparts, each of which shall be deemed an original but all of which together shall constitute one instrument.

10. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Agreement shall be governed by and construed in accordance with the laws of the state in which the Law Firm maintains its principal office for this engagement, without regard to conflict of law principles. This Agreement contains the entire understanding of the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral. If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

The Client authorizes the Law Firm to obtain records, make filings, issue communications, and take such actions reasonably necessary to effectuate the representation.
