LEGAL RETAINER LETTER

This Legal Retainer Letter ("Agreement") is entered into as of by and between Client Name: whose principal address is , and Law Firm: located at .

RECITALS

WHEREAS, Client seeks legal services from Firm in connection with the matter described in Section 1 below; and

WHEREAS, Firm has the experience and resources to provide such legal services and is willing to undertake the representation subject to the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend by this Agreement to set forth their respective rights and obligations regarding Firm's engagement by Client.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. ENGAGEMENT; SCOPE OF REPRESENTATION

1.1 Engagement. Client hereby retains Firm to perform legal services as described in this Section (the "Services"). The Services shall be limited to:

1.2 Exclusions. Unless expressly agreed in writing, Firm will not provide tax, accounting, regulatory compliance, or financial advisory services. If additional matters arise, the parties will execute an amendment to expand the scope.

2. RETAINER AND FEES

2.1 Retainer. Client shall deliver an initial retainer to Firm in the amount of to be deposited into Firm's client trust account and applied against fees and costs as billed hereunder. The retainer is refundable pursuant to this Agreement and applicable accounting rules.

2.2 Fee Structure. Firm's fees will be calculated as follows (select applicable items and provide required information):

3. BILLING, PAYMENT AND EXPENSES

3.1 Billing. Firm will render itemized statements at least monthly describing services performed, timekeepers, time expended, and disbursements advanced on Client's behalf. Payments are due within days of invoice receipt.

3.2 Expenses. Client agrees to reimburse Firm for reasonable out-of-pocket expenses and third-party costs advanced by Firm in connection with the Services, including but not limited to filing fees, courier charges, expert fees, travel, and document production costs.

3.3 Interest. Overdue balances shall accrue interest at a rate of % per month or the maximum rate permitted by law, whichever is lower.

4. CLIENT COOPERATION AND RESPONSIBILITIES

Client shall cooperate fully with Firm, provide all information and documents known to Client that are material to the representation, promptly respond to Firm requests, and notify Firm of any change of address or contact information.

5. CONFLICTS OF INTEREST

Firm has conducted a conflicts check based on the information provided by Client. To the extent Firm subsequently identifies any potential conflict, Firm will disclose such matter to Client. If a conflict exists that cannot be resolved, Firm may decline or withdraw from representation.

6. CONFIDENTIALITY; ATTORNEY-CLIENT PRIVILEGE

Firm will maintain the confidentiality of information provided by Client as required by law and professional rules of conduct. Communications between Client and Firm are protected by the attorney-client privilege and work-product doctrine to the fullest extent provided by law.

7. TERMINATION & WITHDRAWAL

Either party may terminate this Agreement upon written notice to the other. Upon termination, Client will remain liable for all fees and expenses incurred prior to termination, plus any reasonable fees associated with orderly transition of the matter. Firm may withdraw if continued representation would violate applicable law or rules of professional conduct.

8. FILES AND DOCUMENTS

Subject to Client's payment of outstanding balances, Client may request copies of the litigation or transaction file. Firm may retain or destroy client files after a reasonable retention period in accordance with Firm's record retention policies and applicable ethical obligations. Original client documents will be returned upon request.

9. NOTICES

Any notice required or permitted by this Agreement shall be in writing and delivered to the addresses set forth below by personal delivery, certified mail (return receipt requested), or overnight courier:

This Agreement may be amended only by a written instrument signed by both parties. No waiver of any provision of this Agreement shall be effective unless in writing and signed by the party waiving compliance. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

11. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

11.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict-of-law principles.

11.2 Entire Agreement. This Agreement constitutes the entire understanding between the parties with respect to its subject matter and supersedes all prior agreements, understandings, and representations, whether written or oral.

11.3 Severability. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
