LEGAL RETENTION AGREEMENT

This Legal Retention Agreement (the Agreement) is made and entered into as of the day of , , by and between Client Name: , having an address at (Client), and Counsel Name: , having an address at (Counsel).

RECITALS

WHEREAS, Client seeks professional legal representation from Counsel in connection with the matter described as:

WHEREAS, Counsel represents that it is duly qualified and experienced to provide legal services in the jurisdiction(s) relevant to the matter and is willing to undertake such representation on the terms set forth in this Agreement.

WHEREAS, the parties desire to set forth the terms and conditions of the retention of Counsel by Client.

NOW THEREFORE, in consideration of the mutual promises contained herein and other good and valuable consideration, the sufficiency of which is acknowledged, the parties agree as follows:

1. ENGAGEMENT

Client hereby retains Counsel, and Counsel accepts such retention, to provide legal services on Client's behalf in the matter described above and any related matters as agreed in writing. Counsel's duties shall be limited to those tasks expressly set forth in this Agreement or subsequently agreed in writing.

2. SCOPE OF SERVICES

Counsel shall provide legal services reasonably necessary for the representation, including investigation, pleadings, discovery, negotiation, and court appearances as applicable. Services outside the agreed scope will require prior written consent and may be subject to additional fees.

3. FEES, RETAINER AND BILLING

Client agrees to pay Counsel for professional services at the rates and on the terms set forth below. Fees are earned when services are performed and are payable regardless of the outcome of the matter.

Counsel will render itemized statements of fees and costs. Client shall pay invoices in full when due. Overdue amounts may accrue interest at a rate of , or the maximum permitted by law, and Counsel may suspend services or withdraw upon failure to pay.

4. CONFLICTS OF INTEREST

Counsel represents that, to the best of its knowledge after reasonable inquiry, no conflict exists that would prevent Counsel from representing Client in the matter, except as disclosed below. Client acknowledges receipt of any such disclosure and, to the extent applicable, hereby waives the disclosed conflict.

Client knowingly waives the disclosed conflict, if any, and consents to Counsel's representation as described herein.

5. CONFIDENTIALITY AND ATTORNEY-CLIENT PRIVILEGE

All communications between Client and Counsel for the purpose of obtaining legal advice are confidential and protected by the attorney-client privilege and work-product doctrines to the fullest extent permitted by law. Counsel shall not disclose confidences or secrets of Client except as authorized by Client or required by law.

Client authorizes Counsel to disclose confidential information only to third parties when necessary for representation, upon Client's consent, or as required by law.

6. FILES, RECORDS AND RETENTION

Counsel will maintain a file for the matter. Client acknowledges that file ownership resides with Counsel, subject to Client's right to obtain copies. Counsel may, at its discretion, destroy physical and electronic files after years unless Client provides written instructions to the contrary.

7. TERM AND TERMINATION

Either party may terminate this Agreement upon written notice to the other. Termination shall not relieve Client of the obligation to pay for services performed and costs incurred prior to termination.

8. CONSEQUENCES OF TERMINATION

Upon termination, Counsel shall provide Client with a final statement and, upon payment of outstanding balances, shall deliver to Client any original documents and work product as required by law. Counsel may retain copies of Client documents as necessary to comply with recordkeeping obligations.

9. INDEMNITY; LIMITATION OF LIABILITY

Client agrees to indemnify, defend and hold harmless Counsel and its partners, associates and employees from and against all third-party claims, losses, liabilities, costs and expenses (including reasonable attorneys' fees) arising from Client's acts or omissions, except to the extent caused by Counsel's gross negligence or willful misconduct.

Except for liability arising from gross negligence or willful misconduct, Counsel's aggregate liability for any claim arising under or related to this Agreement shall not exceed the total fees paid by Client to Counsel under this Agreement during the preceding period or , whichever is greater.

10. DISPUTE RESOLUTION

The parties shall attempt in good faith to resolve disputes arising from this Agreement. If not resolved, the parties agree to resolve disputes by:

11. GOVERNING LAW

12. NOTICES

13. AMENDMENTS; WAIVER

14. ENTIRE AGREEMENT

This Agreement, together with any attachments and written fee arrangements executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and representations, whether written or oral.

15. SEVERABILITY

If any provision of this Agreement is held to be invalid, illegal or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect and shall be construed so as to effectuate the intent of the parties to the fullest extent permitted by law.

16. COUNTERPARTS; ELECTRONIC SIGNATURES

This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures transmitted by electronic means shall be effective as original signatures.
