4. CERTIFICATION OF DESTRUCTION AND RETENTION

4.1 Returning Party hereby certifies that, except as expressly identified below, it has destroyed or permanently deleted all copies, extracts, summaries, and derivatives of the Items in its possession, custody or control, including electronic, cloud-based, backup, and portable copies, and will not retain any further copies.

4.2 Returning Party must indicate whether a forensic or archival copy will be retained for legal hold or regulatory reasons:

5. INSPECTION AND ACCEPTANCE

5.1 Upon receipt, Recipient shall have days to inspect the returned Items and provide written notice of any nonconformity. Lack of timely notice shall constitute acceptance.

6. REPRESENTATIONS AND WARRANTIES

6.1 Returning Party represents and warrants that it has full authority to return the Items and that the Items are not subject to any liens, encumbrances, or third-party claims that would prevent transfer or destruction as required by this Document.

6.2 Recipient represents and warrants that acceptance of the Items will not violate any applicable law or third-party rights.

7. INDEMNIFICATION

7.1 Each party (the "Indemnifying Party") shall indemnify, defend and hold harmless the other party (the "Indemnified Party") from and against any and all claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of or relating to any breach of the representations, warranties, or obligations set forth in this Document.

8. REMEDIES

8.1 In addition to any other remedies available at law or in equity, Recipient may seek injunctive relief to enforce the return, destruction, or non-use of Items and may recover damages resulting from unauthorized retention, use, or disclosure.

9. CONFIDENTIALITY

9.1 All Items and any information derived therefrom shall remain subject to any applicable confidentiality obligations. Returning Party acknowledges and reaffirms its duty to maintain confidentiality and not to exploit or disclose any confidential information contained in the Items.

10. NOTICES

All notices, requests, demands, claims and other communications hereunder shall be in writing and addressed to the parties at the addresses set forth below or at such other address as a party may specify in writing in accordance with this Section.

11. GOVERNING LAW; VENUE

11.1 This Document shall be governed by and construed in accordance with the laws of the state or jurisdiction specified by the parties below without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the courts located in that jurisdiction for any action arising from or relating to this Document.

12. ENTIRE AGREEMENT; SEVERABILITY; AMENDMENTS

12.1 This Document constitutes the entire agreement between the parties concerning the return of the Items and supersedes all prior agreements and understandings, whether written or oral, regarding the subject matter hereof. 12.2 If any provision of this Document is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. 12.3 Any amendment or modification of this Document must be in writing and signed by both parties.

13. WAIVER; COUNTERPARTS

13.1 The failure of either party to exercise any right or remedy under this Document shall not constitute a waiver of such right or remedy. 13.2 This Document may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Electronic or facsimile signatures shall have the same force and effect as original signatures.
