LEGAL REVISED LETTER

Client and Counterparty are each a "Party" and together the "Parties."

RECITALS

WHEREAS, the Parties previously entered into a written agreement titled dated (the "Original Agreement");

WHEREAS, the Parties desire to amend certain provisions of the Original Agreement, and to set forth the revised terms and clarifying language in this Letter to avoid further dispute and to reflect the Parties' current understanding;

WHEREAS, the Parties intend that this Letter shall operate as an amendment to the Original Agreement and shall take effect on the Effective Date set forth above.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

1. AMENDMENTS TO ORIGINAL AGREEMENT

1.1 Specific Amendment. The Original Agreement is hereby amended by replacing the following provision as set forth below. The provision entitled "" is deleted in its entirety and replaced with the following:

1.2 Term. The term of the Original Agreement is hereby amended such that the Agreement shall now expire on . Any references in the Original Agreement to the "Term" shall be read to reflect this amended expiration date.

2. REPRESENTATIONS AND WARRANTIES

Each Party represents and warrants that: (a) it has full corporate or legal power and authority to enter into this Letter and to perform its obligations hereunder; (b) the execution and delivery of this Letter and the performance of its obligations do not and will not violate or conflict with any other agreement to which it is a party; and (c) the person executing this Letter on its behalf is duly authorized to do so.

3. CONFIDENTIALITY

All non-public information exchanged in connection with the negotiation and implementation of this Letter shall be deemed Confidential Information and shall be held in confidence by the receiving Party, shall not be disclosed to third parties except as required by law, and shall be used only for purposes of performing under the Original Agreement as amended by this Letter. The confidentiality obligations herein shall survive termination or expiration of the Original Agreement for a period of two (2) years.

4. EFFECT OF AMENDMENT

Except as expressly amended by this Letter, all terms and conditions of the Original Agreement shall remain in full force and effect. To the extent of any conflict between the provisions of this Letter and the Original Agreement, the terms of this Letter shall control.

5. NOTICES

Notices shall be in writing and shall be deemed given when delivered personally, when sent by confirmed overnight courier, or three (3) business days after deposit in the U.S. mail, postage prepaid, to the addresses set forth above (or to such other address as a Party may specify by notice).

6. GOVERNING LAW; JURISDICTION

This Letter shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The Parties consent to the exclusive jurisdiction and venue of the state and federal courts located in that state for the resolution of any dispute arising out of or relating to this Letter.

7. ENTIRE AGREEMENT; SEVERABILITY

This Letter, together with the Original Agreement as amended hereby, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. If any provision of this Letter is held to be invalid, illegal or unenforceable, the remaining provisions shall remain in full force and effect and the invalid provision shall be replaced by a mutually acceptable valid provision that most closely effects the Parties' original intent.

8. AMENDMENT; WAIVER; COUNTERPARTS

No amendment to this Letter shall be effective unless in writing and signed by authorized representatives of both Parties. No failure or delay by either Party in exercising any right shall operate as a waiver of that right. This Letter may be executed in counterparts, each of which shall be an original, and all of which together shall constitute one instrument. Signatures provided by electronic transmission shall be binding.

9. ADDITIONAL PROVISIONS

9.1 Assignment. Neither Party may assign or transfer its rights or obligations under this Letter without the prior written consent of the other Party, except that either Party may assign to an affiliate or in connection with a merger or sale of substantially all of its assets.

9.2 Indemnification. Each Party shall indemnify, defend and hold harmless the other Party from and against any losses, liabilities, damages or expenses arising out of that Party's breach of this Letter or grossly negligent or willful misconduct.
