LEGAL REVISION LETTER

This Legal Revision Letter ("Letter") is dated as of Date: and is entered into by and between Client Name: , an entity of type: organized under the laws of , and Counterparty Name: , an entity of type: organized under the laws of (each a "Party" and together the "Parties").

RECITALS

WHEREAS, the Parties entered into an agreement titled: dated as of (the "Agreement"); and

WHEREAS, the Parties have negotiated certain amendments and revisions to specified provisions of the Agreement and desire to memorialize the agreed revisions in accordance with the terms of this Letter; and

WHEREAS, the Parties intend that the revisions set forth in this Letter shall be binding and shall modify the Agreement only as expressly provided herein.

NOW THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

1. DEFINITIONS

Capitalized terms used but not defined in this Letter shall have the meanings assigned to them in the Agreement. For purposes of this Letter, "Amendment" and "Revision" shall refer to the modifications set forth in Section 3 below.

2. SCOPE OF REVISIONS

The Parties agree to amend the Agreement only as expressly set forth in this Letter. Except as specifically amended herein, all terms, conditions and obligations of the Agreement shall remain in full force and effect.

3. SPECIFIC REVISIONS

The Agreement is amended as follows. Each numbered item below identifies the provision to be revised, the existing language to be deleted or modified, and the replacement language. Where multiple revisions are necessary, attach additional pages as an exhibit and label them as Additional Revisions.

4. EFFECT OF AMENDMENT

From and after the Effective Date defined herein, the Agreement shall be deemed amended solely to the extent set forth in Section 3. Except as expressly amended by this Letter, no other provision of the Agreement shall be deemed amended, waived, or otherwise modified.

5. EFFECTIVE DATE

The revisions set forth in this Letter shall become effective on the Effective Date: .

6. CONSIDERATION

The Parties acknowledge and agree that the revisions set forth in this Letter are supported by sufficient consideration, which shall consist of mutual promises and other good and valuable consideration the sufficiency of which the Parties each acknowledge.

7. REPRESENTATIONS AND WARRANTIES

Each Party represents and warrants to the other that: (a) it has the full right, power and authority to enter into this Letter and to perform its obligations hereunder; (b) the person executing this Letter on its behalf is duly authorized to do so; and (c) the execution and delivery of this Letter and the performance hereof do not violate any contractual or legal obligation binding on such Party.

8. NO OTHER MODIFICATIONS

Except as set forth in this Letter, no other term or provision of the Agreement is modified, and all other provisions of the Agreement remain in full force and effect. Any prior or contemporaneous oral or written agreements inconsistent with this Letter are superseded to the extent of any conflict.

9. NOTICES

All notices, requests, consents and other communications required or permitted under this Letter shall be in writing and delivered to the Parties at the addresses set forth below or to such other address as a Party may designate by notice in accordance with this Section.

10. AMENDMENTS; WAIVER

No amendment or waiver of any provision of this Letter shall be effective unless in writing and signed by both Parties. The waiver by either Party of a breach of any provision shall not operate as a waiver of any subsequent breach.

11. COUNTERPARTS; ELECTRONIC SIGNATURES

This Letter may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Execution and delivery of an executed counterpart by electronic transmission (including by PDF or other electronic format) shall be effective as delivery of a manually executed counterpart.

12. GOVERNING LAW

This Letter shall be governed by and construed in accordance with the laws of the jurisdiction specified for governing law: without regard to principles of conflicts of law.

13. SEVERABILITY

If any provision of this Letter is held to be invalid, illegal or unenforceable in any respect by a tribunal of competent jurisdiction, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired.

14. ENTIRE AGREEMENT

This Letter, together with the Agreement as amended hereby, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written, with respect thereto.

15. ACCEPTANCE

The Parties acknowledge that by signing below they each accept and agree to be bound by the terms of this Letter. The Parties further acknowledge that they have had the opportunity to consult with legal counsel of their choice prior to executing this Letter.
