LEGAL REVISIONS AGREEMENT

RECITALS

WHEREAS, the parties entered into a written agreement titled: dated (the Original Agreement); and

In consideration of the mutual covenants contained herein and other good and valuable consideration, receipt of which is hereby acknowledged, the parties agree as follows:

1. AMENDMENTS AND REVISIONS

1.1 Specific Revisions. The Original Agreement is hereby amended as set forth in the Revision Schedule below. Each entry in the Revision Schedule identifies the provision of the Original Agreement to be revised, the original text, and the revised text which shall supersede the original text upon the Effective Date specified in this Agreement.

1.2 Additional Revisions. Any additional revisions agreed by the parties after execution of this Agreement shall be documented in a written amendment signed by authorized representatives of both parties and will identify the specific provisions to be changed and the effective date of such change.

2. EFFECT ON ORIGINAL AGREEMENT

Except as expressly amended by this Agreement, all terms, covenants and conditions of the Original Agreement shall remain in full force and effect. In the event of any conflict between the Original Agreement and the amended provisions set forth in this Agreement, the provisions of this Agreement shall govern to the extent of the conflict.

3. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that: (a) it has the full corporate or organizational power and authority to enter into this Agreement; (b) the execution and delivery of this Agreement and the performance of its obligations hereunder have been duly authorized by all necessary action; and (c) this Agreement constitutes a legal, valid and binding obligation enforceable in accordance with its terms.

4. NOTICES

All notices, consents and other communications required or permitted under this Agreement shall be in writing and delivered to the parties at the addresses set forth below (or to such other address as either party may designate by notice to the other).

5. AMENDMENTS; WAIVER

No amendment, modification, or waiver of any provision of this Agreement shall be effective unless in a writing signed by authorized representatives of both parties. No failure or delay by either party in exercising any right shall operate as a waiver of that right.

6. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Signatures delivered by electronic transmission shall be deemed original signatures.

7. GOVERNING LAW; SEVERABILITY; ENTIRE AGREEMENT

7.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles.

7.2 Severability. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect and the parties shall negotiate in good faith to replace the invalid provision with a valid provision that effects the original intent.

7.3 Entire Agreement. This Agreement, together with the Original Agreement as amended hereby, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, both written and oral, relating to such subject matter.

8. FURTHER ASSURANCES

Each party shall execute and deliver such further documents and take such other actions as may be reasonably necessary to effectuate the purposes of this Agreement.
