Nothing in this Notice shall constitute a waiver of any substantive or procedural right unless explicitly stated in writing and signed by the party waiving such right.

7. NOTICES

All notices, consents, demands or other communications required or permitted under this Notice shall be in writing and delivered by hand, certified mail (return receipt requested), or overnight courier to the addresses set forth below or to such other address as either party may designate in writing.

8. GOVERNING LAW

This Notice shall be governed by and construed in accordance with the substantive laws of the State of without regard to conflict of laws principles. 9. ENTIRE AGREEMENT

This Notice constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings, whether written or oral, relating to such subject matter.

10. SEVERABILITY

If any provision of this Notice is found by a court of competent jurisdiction to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions shall not be affected or impaired thereby, and the parties shall negotiate in good faith to replace the invalid provision with a valid provision that comes closest to the parties' original intent.

11. AMENDMENTS; WAIVER; COUNTERPARTS

This Notice may be amended only by a written instrument signed by both parties. No waiver of any breach or default hereunder shall be effective unless in writing and signed by the waiving party. This Notice may be executed in counterparts, each of which shall be deemed an original.
