LEGAL RIGHTS RESTRICTION FORM

This Legal Rights Restriction Form (the “Agreement”) is made and entered into on Effective Date: by and between Party A: (hereinafter “Restricting Party”) and Party B: (hereinafter “Restricted Party”). RECITALS

WHEREAS, the Parties desire to set forth the scope, duration, exceptions and remedies relating to such limitations in writing to avoid future disputes; and

NOW, THEREFORE, in consideration of the mutual covenants and other good and valuable consideration, receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

1.1 "Restricted Rights" means the specific legal rights, claims, causes of action, privileges, powers or entitlements described in Section 2 of this Agreement that the Restricted Party agrees to limit, waive, or refrain from exercising.

6.2 The Restricted Party covenants that it will not directly or indirectly take any action that is inconsistent with the restrictions and will cooperate in good faith to effectuate the terms of this Agreement.

7. REMEDIES

7.1 The Parties agree that a breach of the restrictions would cause irreparable harm for which money damages alone may be an inadequate remedy. Accordingly, in addition to any other remedies at law or in equity, the Restricting Party shall be entitled to seek injunctive relief, specific performance and any equitable relief deemed appropriate by a court.

8. CONFIDENTIALITY OF TERMS

8.1 Unless otherwise agreed in writing, the Parties shall treat the existence and terms of this Agreement as confidential and shall not disclose them to third parties except to their legal or financial advisors, or as required by law or court order. Any permitted disclosure shall be made only to those who have a need to know and who are bound to confidentiality obligations at least as protective as those herein.

9. NOTICES

9.1 All notices, consents, approvals, demands and other communications required or permitted under this Agreement shall be in writing and delivered to the addresses below by certified mail, courier, or personal delivery, or electronic delivery with confirmation where agreed by the Parties.

10. GOVERNING LAW; JURISDICTION

10.1 This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict-of-law principles. The Parties consent to the exclusive jurisdiction of the state and federal courts located in that State for any dispute arising out of or relating to this Agreement.

11. ENTIRE AGREEMENT; SEVERABILITY; AMENDMENT; WAIVER; COUNTERPARTS

11.1 This Agreement constitutes the entire agreement between the Parties concerning the subject matter hereof and supersedes all prior and contemporaneous negotiations, agreements, and understandings, whether written or oral.

11.2 If any provision of this Agreement is held to be invalid, illegal or unenforceable in any respect, that provision shall be modified to the minimum extent necessary to make it valid, legal and enforceable, and the remaining provisions shall remain in full force and effect.

11.3 No amendment, modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by authorized representatives of both Parties. No failure or delay by either Party in exercising any right shall operate as a waiver of that right.

11.4 This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures delivered electronically in a commonly used format shall be binding.

12. ADDITIONAL ACKNOWLEDGMENTS

12.1 Each Party acknowledges that it has had the opportunity to seek independent legal advice and has either done so or voluntarily chosen not to. Each Party further acknowledges that it understands the terms and legal effect of this Agreement.
