LEGAL RISK ADDENDUM

This Legal Risk Addendum ("Addendum") is made as of between Company Name: , having its principal place of business at (the "Company"), and Counterparty Name: , having its principal place of business at (the "Counterparty").

RECITALS

WHEREAS, the parties entered into a certain agreement entitled dated (the "Covered Agreement");

WHEREAS, the parties desire to identify, allocate, and mitigate specified legal risks arising out of or related to the Covered Agreement and to set forth procedures for notice, remediation, insurance and indemnification with respect to such risks; and

WHEREAS, the parties intend this Addendum to supplement and, where inconsistent, to control over the Covered Agreement solely to the extent expressly set forth herein.

NOW THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

1.1 "Identified Risks" means the material legal, regulatory, compliance or litigation risks set forth in Section 2 and any subsequently documented risks agreed in writing by the parties.

1.2 "Loss" means any and all losses, liabilities, damages, fines, penalties, costs and expenses, including reasonable attorneys' fees, incurred as a result of a Claim.

3. SCOPE OF ADDENDUM

3.1 This Addendum amends and supplements the Covered Agreement and applies only to the Identified Risks and obligations expressly set forth herein. Except as expressly modified by this Addendum, all terms of the Covered Agreement remain in full force and effect.

4. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants to the other that: (a) it has full corporate power and authority to enter into this Addendum and to perform its obligations hereunder; (b) the execution, delivery and performance of this Addendum does not violate any material agreement to which it is a party; and (c) there are no material facts known to such party that would render any representation in this Addendum materially inaccurate.

5. RISK ALLOCATION; INDEMNIFICATION

5.1 General Indemnity. Each party (the "Indemnifying Party") shall indemnify, defend and hold harmless the other party and its officers, directors, employees and agents (the "Indemnified Parties") from and against any Loss arising out of the Indemnifying Party's breach of its representations, warranties or obligations under this Addendum or arising from the Indemnifying Party's negligence, willful misconduct, or violation of applicable law in connection with the Identified Risks.

5.2 Defense and Control. The Indemnifying Party shall have the right to assume and control the defense of any Claim subject to indemnification hereunder, provided that the Indemnified Party may participate in such defense at its own expense and the Indemnifying Party shall not settle any Claim that imposes any non-monetary obligation or admission of fault on the Indemnified Party without the Indemnified Party's prior written consent, such consent not to be unreasonably withheld.

6. LIMITATION OF LIABILITY

6.1 Except for liability arising from a party's fraud, willful misconduct, or indemnification obligations under Section 5, each party's aggregate liability arising under or related to this Addendum shall not exceed .

6.2 Notwithstanding the foregoing, neither party shall be liable for special, indirect, incidental or consequential damages, including lost profits, except to the extent such damages were caused by gross negligence, willful misconduct or a breach of the indemnities set forth herein.

7. COMPLIANCE; NOTIFICATION

7.1 Each party shall maintain policies, procedures and controls reasonably necessary to comply with all applicable laws and to mitigate the Identified Risks.

7.2 Notice of Claims or Events. A party seeking indemnification or other relief under this Addendum must provide prompt written notice to the other party of any Claim or event reasonably expected to give rise to a Claim. Notices shall be provided to the addresses specified in Section 10. Failure to provide timely notice shall not relieve the indemnifying party of liability except to the extent it is materially prejudiced by the delay.

8. INSURANCE

Each party shall maintain commercially reasonable insurance with carriers of recognized standing covering the risks identified in this Addendum, including, where applicable, cyber liability and professional liability. Minimum limits required (if any) shall be:

9.1 The parties shall cooperate in good faith in the investigation, mitigation and remediation of any event giving rise to an Identified Risk. The party principally responsible for remediation shall commence actions to remediate within days of notice and shall provide periodic status updates to the other party.

10. NOTICES

11. AMENDMENTS; WAIVER; COUNTERPARTS

11.1 No amendment or modification of this Addendum shall be effective unless in a writing signed by authorized representatives of both parties.

11.2 No failure or delay by either party in exercising any right hereunder shall operate as a waiver of such right, nor shall any single or partial exercise of any right preclude other or further exercise of such right.

11.3 This Addendum may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

12. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

12.1 Governing Law. This Addendum shall be governed by and construed in accordance with the laws of without regard to its conflicts of law rules.

12.2 Entire Agreement. This Addendum, together with the Covered Agreement, constitutes the entire agreement of the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings and agreements, whether written or oral, relating thereto.

12.3 Severability. If any provision of this Addendum is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect and the parties shall negotiate in good faith to replace the invalid provision with a valid provision that achieves, to the extent possible, the original economic intent of the parties.

13. MISCELLANEOUS

13.1 Survival. The provisions of this Addendum that by their nature should survive termination of the Covered Agreement shall survive such termination, including but not limited to Sections 1, 5, 6, 10, and 12.

13.2 Remedies. The rights and remedies provided in this Addendum are cumulative and in addition to any other rights and remedies available at law or in equity.
