What the Legal Risk Authorization Form Is and When It Applies

A Legal Risk Authorization Form documents an individual or organization granting permission to accept, assess, or assume legal risk on behalf of another party for a defined matter or transaction. It records the scope of authority, effective dates, risk limits, and any conditions or reporting obligations. Organizations commonly use it to delegate decision-making for settlements, litigation strategy, contract approval, regulatory responses, or indemnity arrangements. The form creates an auditable record of who may act, the boundaries of that authority, and the circumstances that trigger escalation back to senior decision makers.

Why a Formal Authorization Form Matters for Risk Management

A clear authorization form reduces ambiguity about who may accept or allocate legal risk, protects fiduciary duties, and preserves corporate governance records. It supports audits, demonstrates delegation controls, and helps avoid unauthorized settlements, missed disclosures, or conflicting instructions that can increase liability.

Why a Formal Authorization Form Matters for Risk Management

Who Typically Prepares and Signs This Form

Organizations use this form when delegating legal authority to in-house counsel, claims managers, or designated executives for specific matters.

  • Corporate legal teams and general counsel managing litigation, regulatory, or settlement authority across business units.
  • Claims and risk managers in insurance and financial services approving settlements within defined monetary limits.
  • Business unit leaders or procurement executives authorized to accept contract-related legal risks for operational needs.

The form clarifies limits, reporting requirements, and timeframes so downstream parties act consistently with governance and compliance obligations.

Primary Signer Roles

In-House Counsel

In-house counsel typically receives delegated settlement or litigation authority. Their signature confirms legal assessment and acceptance of identified risks, records relied assumptions, and triggers required reporting to executives or the board.

Claims Manager

A claims manager signs when settling insurance claims within preapproved thresholds. The manager documents approval conditions, reserved amounts, and any coordination needed with adjusters or external counsel.

Core Elements to Include on a Professional Authorization Form

A robust form balances clarity and enforceability by specifying parties, scope, limits, controls, and documentation requirements.

Parties

Full legal names and roles of both the delegating party and authorized person, including job title and contact information to avoid identity ambiguity.

Scope of Authority

Explicit description of actions permitted (e.g., settle litigation up to $X, approve contract risk language) and any excluded actions requiring higher approval.

Monetary Limits

Dollar thresholds or percentage limits that constrain the authorized party and indicate escalation triggers for larger exposures.

Effective Period

Start and end dates, or event-based termination conditions, so authority does not persist indefinitely without review.

Reporting Requirements

Frequency and recipient of required reports, documentation to be retained, and any approval checklist items for auditability.

Signatures

Signature block for the delegator and the designee, with printed name, title, date, and witness or notary lines if required by policy or jurisdiction.

Common Preparation Pitfalls to Avoid

  • Vague scope descriptions that leave room for differing interpretations and create disputes about what actions were authorized.
  • Failing to specify monetary limits or escalation paths, which can result in unauthorized commitments or exposure above tolerance.
  • Omitting effective dates or termination events so authority continues after personnel changes or matter resolution.
  • Neglecting to document required supporting materials or reporting obligations, hindering audits and internal oversight.
