RECITALS

WHEREAS, Client has requested that an assessment of legal risks relating to the matters described in this Form be conducted and documented; and

WHEREAS, Counterparty has provided information, representations and access to materials as necessary for identification and analysis of legal risk; and

WHEREAS, the parties desire to record identified risks, assign responsibility for mitigation, and set monitoring and reporting obligations in accordance with the terms set forth herein.

NOW, THEREFORE, in consideration of the mutual covenants and agreements herein, the parties agree as follows:

For purposes of this Form, the following terms shall have the meanings set forth below:

"Assessment" means the identification, analysis and documentation of legal risks performed pursuant to this Form, including any written findings, mitigation plans and attachments.

"Material Risk" means any legal exposure that, individually or in the aggregate, could reasonably be expected to result in material loss, liability, regulatory enforcement, or reputational damage.

"Mitigation Plan" means the actions, timelines and responsible persons designated to address an identified risk.

Each party represents and warrants that: (a) it has the full right, power and authority to enter into this Form; and (b) the information furnished by it in connection with the Assessment is, to the best of its knowledge, true, accurate and complete as of the date hereof. Each party agrees to promptly notify the other of any material change in such information.

11. INDEMNIFICATION

Each party shall indemnify, defend and hold harmless the other party from and against any losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of that party's breach of its representations or obligations under this Form, except to the extent caused by the other party's gross negligence or willful misconduct.

12. LIMITATION OF LIABILITY

Except as provided in the indemnification section above, neither party shall be liable to the other for incidental, consequential, punitive or special damages arising out of this Form, whether in contract, tort or otherwise, to the extent permitted by law.

13. NOTICES

All notices required or permitted under this Form shall be in writing and delivered to the addresses set forth below or to such other address as a party may specify in writing in accordance with this section.

14. AMENDMENT; WAIVER; COUNTERPARTS

This Form may only be amended by a written instrument signed by both parties. No waiver of any provision shall be effective unless in writing and signed by the party against whom enforcement is sought. This Form may be executed in counterparts and by electronic signature, each of which shall be deemed an original and all of which together shall constitute one instrument.

15. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Form shall be governed by and construed in accordance with the laws selected by the parties in writing. This Form constitutes the entire agreement of the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings. If any provision of this Form is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
