NOW, THEREFORE

In consideration of the mutual covenants and agreements set forth in this Notice, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

3. LIMITATIONS ON REPRESENTATIONS

Issuer's identification of risks constitutes a statement of professional assessment of potential legal exposure based upon currently available facts and reasonable assumptions. Issuer does not warrant that the list of risks is exhaustive, nor does Issuer guarantee any particular result. Recipient acknowledges that Issuer's statements are based on information provided by Recipient and third parties and that material changes in facts or law may alter the assessment.

4. NO ATTORNEY-CLIENT RELATIONSHIP; NO LEGAL ADVICE

Receipt of this Notice alone does not create an attorney-client relationship between Issuer and Recipient. Unless Issuer and Recipient have executed a separate written engagement agreement expressly establishing such a relationship, Issuer is not providing legal advice that is tailored to all aspects of Recipient's circumstances. Recipient should obtain independent legal counsel for formal advice and representation.

5. DISCLOSURE AND DUTY TO COOPERATE

Recipient shall promptly disclose to Issuer any material facts, documents, or communications that relate to the risks identified in this Notice. Failure to provide complete and timely information may increase or change risk exposure and may relieve Issuer of any obligation to update the risk assessment.

6. CONFIDENTIALITY

The parties agree that the contents of this Notice and any non-public materials exchanged in the course of preparing it are confidential and shall be treated as Confidential Information subject to any existing confidentiality agreement between the parties. Absent such agreement, the parties shall not disclose Confidential Information except as required by law or as necessary to consult with legal or financial advisors who agree to maintain confidentiality.

7. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Issuer's liability arising from or related to this Notice, whether in contract, tort (including negligence), strict liability or otherwise, shall be limited to direct damages and shall not exceed the lesser of (a) the fees paid to Issuer in connection with the matter described above or (b) two thousand five hundred dollars (US$2,500), unless a different cap is separately agreed in writing. In no event shall Issuer be liable for special, incidental, consequential, punitive, or exemplary damages.

8. INDEMNIFICATION

Recipient agrees to indemnify, defend, and hold harmless Issuer and its officers, directors, employees and agents from and against all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of Recipient's failure to disclose material facts or Recipient's misuse of the information contained in this Notice.

9. NOTICES

All notices required or permitted under this Notice shall be in writing and delivered to the addresses set forth below or to such other address as a party may designate by written notice. Delivery by hand, overnight courier, or certified mail (return receipt requested) is acceptable.

10. AMENDMENTS; WAIVER

No amendment, modification or waiver of any provision of this Notice shall be effective unless in writing and signed by both parties. No failure or delay in exercising any right shall operate as a waiver.

11. GOVERNING LAW

This Notice shall be governed by and construed in accordance with the laws of the jurisdiction specified below without regard to conflict of law principles.

12. ENTIRE AGREEMENT; SEVERABILITY

This Notice constitutes the entire agreement of the parties with respect to the subject matter hereof and supersedes all prior understandings. If any provision of this Notice is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

13. COUNTERPARTS

This Notice may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one instrument. Facsimile or electronic signatures shall be deemed originals for all purposes.
