5.3 Notifying Party agrees to indemnify and hold harmless Recipient from any losses reasonably incurred as a direct result of any material misrepresentation in the representations and warranties contained in Section 4, provided Recipient gives prompt written notice of any claim and cooperates in the defense thereof.
