RECITALS

WHEREAS, Client and Supplier are parties to commercial arrangements pursuant to which Supplier supplies goods and/or services that are the subject of records, representations, origin, and compliance verifications (collectively, "ROGS"); and

WHEREAS, Client requires assurance, verification and audit rights concerning the accuracy, provenance, quantity and supporting documentation for ROGS provided by Supplier; and

WHEREAS, Supplier is willing to provide certification, access to records, and such supporting documentation as set forth herein.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. DEFINITIONS

For purposes of this Form, "ROGS" means Records of Goods and Services relating to shipments, deliveries, invoices, certificates of origin, test reports, service records and other documents used to substantiate the provenance, quantity, quality and compliance of goods and services supplied to Client.

2. VERIFICATION OBLIGATIONS

Supplier shall, upon reasonable request by Client, deliver or make available for inspection all ROGS and supporting documentation necessary to verify compliance with contractual, regulatory and industry requirements. 4. ACCESS AND AUDIT RIGHTS

Client and its authorized representatives shall have the right, upon reasonable prior notice and during normal business hours, to inspect and copy Supplier's ROGS and related records. Supplier shall cooperate with reasonable on-site audits and provide electronic copies when on-site access is not feasible. Audit scope, frequency and cost allocation shall be as set forth in the underlying commercial agreement; absent such provision, each party shall bear its own costs.

5. REPRESENTATIONS AND WARRANTIES

Supplier represents and warrants that: (a) all ROGS provided are true, complete and accurate to the best of Supplier's knowledge; (b) documents provided are genuine and were prepared in the ordinary course of business; and (c) no material facts have been omitted that would render any representation misleading.

6. CONFIDENTIALITY

All ROGS and information exchanged pursuant to this Form shall be treated as Confidential Information of the disclosing party. Recipient shall not disclose Confidential Information except as required by law or to permit Client to exercise its verification rights. Recipient shall use at least the same degree of care in protecting Confidential Information as it uses for its own confidential materials, but in no event less than reasonable care.

7. INDEMNIFICATION

Supplier shall indemnify, defend and hold harmless Client from and against any losses, liabilities, damages, fines or costs (including reasonable attorneys' fees) arising out of Supplier's breach of the representations, warranties or obligations contained in this Form, including but not limited to falsification of ROGS.

8. TERM AND TERMINATION

This Form shall remain in effect for the duration of the parties' commercial relationship or for a period of years following final delivery of goods or completion of services, whichever is later. Either party may terminate this Form for material breach that remains uncured for thirty (30) days after written notice.

No amendment or modification of this Form will be effective unless in a writing signed by both parties. Failure by a party to enforce any provision shall not constitute a waiver of that provision. This Form may be executed in counterparts, each of which shall be an original and together shall constitute one instrument.

11. GOVERNING LAW

This Form shall be governed by and construed in accordance with the laws of the jurisdiction specified below without regard to conflict of laws principles.

12. ENTIRE AGREEMENT; SEVERABILITY
