WHEREAS, the Recipient requires such information to evaluate, investigate or proceed with the matter described in this Release and the parties intend to set forth the terms and limitations of such disclosure.

In consideration of the mutual covenants and agreements contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. AUTHORIZATION

The Client authorizes the Disclosing Party to release and disclose to the Recipient the information and records described in Section 2 below. This authorization constitutes a specific and limited waiver of privacy, confidentiality or comparable protections only to the extent necessary for the Recipient to obtain and use such information for the Purpose set forth in Section 3.

The Recipient shall not disclose or use the information for purposes other than those set forth in this Release. The Recipient is liable for improper redisclosure or unauthorized use of the information to the extent permitted by applicable law.

The Disclosing Party may charge reasonable fees for reproduction, certification, and delivery of copies. The Client agrees to be responsible for reasonable charges subject to any applicable statutory limits.

9. REPRESENTATIONS AND WARRANTY

The Client represents that they are the subject of the records or otherwise have authority to authorize disclosure of the records described herein. The Client agrees to indemnify the Disclosing Party and the Recipient against claims arising from any false representation of authority by the Client.

10. NOTICES

All notices required or permitted under this Release shall be in writing and sent to the parties at the addresses below. Notice is effective upon receipt.

11. AMENDMENT; WAIVER; COUNTERPARTS

This Release may be amended only by a written instrument signed by both the Client and the Recipient. No failure or delay by any party in exercising any right shall operate as a waiver. This Release may be executed in counterparts, each of which shall be an original and all of which together shall constitute one instrument.

12. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Release shall be governed by and construed in accordance with the laws of the state specified below without regard to conflict of law principles. This Release constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior agreements. If any provision of this Release is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
