LEGAL ROOF WAIVER AND RELEASE AGREEMENT

This Roof Waiver and Release Agreement ("Agreement") is entered into as of by and between Owner: and Contractor: regarding the real property located at .

RECITALS

WHEREAS, Owner is the legal owner of the Property identified above and has authority to grant access to the roof and other areas of the Property; and

WHEREAS, Contractor performs roofing and related services and requires entry to the roof and related areas of the Property to perform the Work described in this Agreement; and

WHEREAS, Owner desires to grant access and to waive certain claims as set forth herein in consideration of Contractor's provision of the Work and related services at the Property.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

1.1. "Work" means the roofing services and any incidental repair, replacement, inspection, removal of debris, testing, or related activities to be performed at the Property. Describe Work:

2.1. Owner grants Contractor, its agents, employees and authorized subcontractors a license to enter the Property, including roof areas, during normal business hours and at such other times as are reasonably necessary to perform the Work. Access shall include reasonable use of ladders, staging, tarps and temporary protective measures.

3. WAIVER AND RELEASE

3.1. To the fullest extent permitted by law, Owner knowingly, voluntarily and irrevocably waives, releases and discharges Contractor, its affiliates, officers, directors, employees and agents from any and all claims, causes of action, liabilities, demands, losses or damages (including but not limited to bodily injury, property damage, costs of repair, diminution of value and attorneys' fees) arising out of or related to the Work or Contractor's access to the Property, except to the extent such claims arise from Contractor's gross negligence or willful misconduct.

3.2. Owner acknowledges that routine roofing operations may cause incidental loading, movement of materials and temporary disturbance. Owner waives any claim for incidental or consequential damages resulting solely from such routine operations when Contractor performs the Work in a manner consistent with industry standards.

4. ASSUMPTION OF RISK

4.1. Owner represents that Owner has been informed of the nature of the Work and the risks associated therewith. Owner assumes all risks associated with pre-existing conditions of the Property (including hidden or latent defects) and agrees that Contractor shall not be liable for conditions not reasonably detectable by Contractor prior to performance of the Work.

5. INDEMNIFICATION

5.1. Owner shall indemnify, defend and hold harmless Contractor from and against any third-party claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising from: (a) Owner's failure to disclose known defects or hazardous conditions affecting the roof or Property; (b) Owner's negligence or willful misconduct; or (c) Owner's breach of this Agreement.

5.2. Contractor's indemnification obligations, if any, shall be limited to liabilities arising directly from Contractor's gross negligence or willful misconduct and shall be subject to the limitation of liability set forth in Section 7.

6. INSURANCE

6.1. Contractor represents that it maintains commercial general liability insurance and workers' compensation insurance as required by law. Contractor shall provide insurance carrier and policy information as follows:

7.1. In the event of damage to the roof or Property caused by Contractor's negligent performance of the Work, Contractor's liability shall be limited to the reasonable cost of repair or, at Contractor's option, replacement of the damaged portion of the roof, not to exceed .

7.2. Owner shall promptly notify Contractor in writing of any damage or claim. Contractor shall, at its expense when responsible under this Agreement, undertake repairs within a commercially reasonable time. Owner shall provide Contractor reasonable access to complete repairs.

8. PERMITS AND COMPLIANCE

8.1. Responsibility for obtaining permits and inspections required by local authorities for the Work shall be allocated as follows:

9. WARRANTY

9.1. 10. NOTICES

10.1. All notices required or permitted under this Agreement shall be in writing and shall be delivered to the addresses set forth below by personal delivery, certified mail (return receipt requested) or nationally recognized overnight courier.

11. AMENDMENTS; WAIVER

11.1. No amendment, modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties. No failure or delay by either party in exercising any right will operate as a waiver of that right.

12. GOVERNING LAW

12.1. This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to conflict of laws principles.

13. ENTIRE AGREEMENT

13.1. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether written or oral.

If any provision of this Agreement is held to be invalid, illegal or unenforceable in any respect, such provision will be modified to the extent necessary to make it enforceable, and the validity, legality and enforceability of the remaining provisions will not be affected or impaired thereby.

15.1. This Agreement may be executed in counterparts, each of which when so executed shall be deemed an original, and all of which together shall constitute one and the same instrument.

16. MISCELLANEOUS

16.1. This Agreement binds and inures to the benefit of the parties and their respective successors and permitted assigns. Neither party may assign this Agreement without the prior written consent of the other, except that Contractor may assign to an affiliate or in connection with a sale of substantially all of its assets.
