What the Legal RSA Resolutions Document Is

A Legal RSA Resolutions Document is a formal corporate board or committee resolution that authorizes Restricted Stock Awards (RSAs) or similar equity grants to individuals or entities. It records the board's decision, specifies the award terms (number of shares, class, vesting schedule, restrictions, and effective date), and delegates authority for administration and signature to designated officers. The document becomes part of corporate minutes and supporting records used for stock ledger updates, tax reporting, and compliance with company bylaws and securities rules.

Why a Clear Resolution Matters for Equity Grants

A well-drafted Legal RSA Resolutions Document creates a clear legal record of authorization, limits post-grant disputes, supports tax compliance, and documents delegated authority. Under U.S. law, an explicit corporate action reduces risk around corporate governance, securities compliance, and later enforcement of vesting or transfer restrictions.

Why a Clear Resolution Matters for Equity Grants

Who Typically Prepares and Signs These Resolutions

In small companies founders often serve multiple roles, while larger companies separate drafting, approval, and execution duties to preserve governance controls.

  • Board of directors and compensation committee members who approve equity grants and set material terms.
  • Corporate secretary or general counsel who drafts the resolution language and records minutes.
  • C-level executives or stock transfer agents who execute grant paperwork and update the stock ledger.

Key Signatory Roles and Their Duties

Board Chair

Typically presides over the board meeting, moves or seconds the resolution and may sign as evidentiary confirmation. The chair should ensure quorum and that the action is recorded in minutes.

Corporate Secretary

Records the board resolution in minutes, prepares the written document, and often signs or certifies the resolution for outside use. The secretary ensures the stock ledger and corporate records are updated.

Essential Components to Include

Common Preparation Mistakes to Avoid

  • Using colloquial or vague vesting language that invites differing interpretations and disputes.
  • Failing to confirm the board’s power or quorum, which can render the action voidable.
  • Neglecting to update the stock ledger and transfer records after issuance, causing ownership discrepancies.
  • Omitting tax notices (for example 83(b) guidance) or failing to coordinate with payroll for withholding obligations.

Legal and Financial Risks of Incorrect Resolutions

Invalid Authorization: May render grants void
Tax Liability: Unexpected withholding or reporting exposure
Securities Noncompliance: Potential state or federal violations
Recordkeeping Gaps: Audit or investor disputes
Civil Liability: Breach claims by grantees or shareholders
Operational Delay: Delays in issuing or transferring shares
