LEGAL RTR AGREEMENT

This Release, Transfer and Reassignment Agreement (the Agreement) is made and entered into as of , by and between Transferor: with a principal address at , and Transferee: with a principal address at .

RECITALS

WHEREAS, Transferor owns or controls certain rights, interests, and assets described herein that Transferor desires to release, transfer and reassign to Transferee under the terms set forth in this Agreement; and

WHEREAS, Transferee desires to accept such release, transfer and reassignment and to assume the obligations and rights set forth in this Agreement in consideration of the consideration described below; and

WHEREAS, the parties intend that such transfer operates as a full and complete assignment, transfer, and reassignment of the rights specified in this Agreement, free and clear of encumbrances except as expressly set forth herein.

NOW, THEREFORE

In consideration of the premises and the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

1.1 "Transferred Rights" means all right, title and interest being released, transferred and reassigned by Transferor to Transferee as described in Section 2.2 below.

1.2 "Effective Date" means the date set forth above.

2. TRANSFER AND ASSIGNMENT

2.1 Transfer. Subject to the terms and conditions of this Agreement, Transferor hereby irrevocably releases, assigns, transfers and reassigns to Transferee, and Transferee hereby accepts, all right, title and interest of Transferor in and to the Transferred Rights, effective as of the Effective Date.

2.2 Description of Transferred Rights. The Transferred Rights include the following assets and obligations (include all registrations, copyrights, agreements, accounts, or other items being transferred):

3. CONSIDERATION

The parties acknowledge that the consideration set forth above is the full, exclusive and final consideration for the transfer of the Transferred Rights and that no other payments, royalties, or contingent compensation shall be due from Transferee to Transferor except as specifically set forth in a separate written instrument executed by both parties.

4. CLOSING; DELIVERY

4.1 At closing, Transferor shall execute and deliver to Transferee such instruments of transfer, assignments, and other documentation reasonably necessary to effectuate the transfer of the Transferred Rights. Transferor shall cooperate and take all further actions reasonably requested by Transferee to perfect or protect the Transferred Rights.

4.2 Deliverables. The following items shall be delivered by Transferor at or prior to closing: executed assignment instruments, originals or copies of pertinent agreements identified in Section 2.2, and any authorizations necessary to record or reflect the assignment.

5. REPRESENTATIONS AND WARRANTIES

5.1 Transferor represents and warrants to Transferee that: (a) Transferor is the sole legal and beneficial owner of the Transferred Rights and has full power and authority to transfer the Transferred Rights free of liens, claims, encumbrances and third-party rights except as disclosed in writing to Transferee; (b) no consent, approval, filing or authorization of any third party or governmental authority is required to effectuate the transfer except as specifically disclosed in writing; and (c) the execution and performance of this Agreement do not and will not violate any contract or law binding on Transferor.

5.2 Transferee represents and warrants that it has the corporate or individual power and authority to accept the Transferred Rights and to perform its obligations under this Agreement.

6. COVENANTS

Each party covenants to execute and deliver such further instruments and to take such further acts as may be reasonably necessary to carry out the intent of this Agreement and to effectuate the transfer contemplated herein.

7. INDEMNIFICATION

Transferor shall indemnify, defend and hold harmless Transferee and its affiliates from and against any and all losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of any breach of Transferor's representations, warranties or covenants contained in this Agreement or arising from claims of third parties relating to the Transferred Rights existing prior to the Effective Date.

Transferee shall indemnify, defend and hold harmless Transferor from and against any liabilities arising from Transferee's post-Effective Date use or exploitation of the Transferred Rights, except to the extent caused by Transferor's breach of this Agreement.

8. CONFIDENTIALITY

The parties agree that the terms of this Agreement and any non-public information exchanged in connection with the negotiation and performance of this Agreement constitute Confidential Information and shall not be disclosed to third parties except as required by law or with the prior written consent of the other party.

9. TAXES

Unless otherwise agreed in writing, each party shall be responsible for its own taxes arising from the transfer contemplated by this Agreement. Any transfer, documentary, recording or similar taxes or fees imposed by any governmental authority in connection with this Agreement shall be borne by or as allocated in a separate writing executed by both parties.

10. NOTICES

All notices under this Agreement shall be in writing and delivered to the parties at the following addresses by hand delivery, certified mail (return receipt requested), or nationally recognized overnight courier:

11. AMENDMENTS; WAIVER; COUNTERPARTS

No amendment or modification of this Agreement shall be effective unless in writing and signed by duly authorized representatives of both parties. No waiver of any breach shall constitute a waiver of any prior, concurrent, or subsequent breach. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

12. GOVERNING LAW; SEVERABILITY; ENTIRE AGREEMENT

This Agreement shall be governed by, and construed in accordance with, the laws of the state of without regard to conflicts of law principles. If any provision of this Agreement is held invalid or unenforceable, such provision shall be severed and the remaining provisions shall remain in full force and effect. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.

13. MISCELLANEOUS

13.1 Remedies. Except as otherwise set forth herein, the remedies provided in this Agreement are cumulative and in addition to any other remedies available at law or in equity.

13.2 Assignment. No party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party; provided, however, Transferee may assign to an affiliate without such consent provided Transferee remains primarily liable for performance.
