LEGAL RTR FORM

This Release, Transfer and Receipt Agreement (the "Agreement") is entered into as of Effective Date: by and between Transferor: (Entity Type: ) and Transferee: (Entity Type: ).

RECITALS

WHEREAS, Transferor is the lawful owner of certain assets and rights more particularly described below and herein referred to as the "Transferred Assets"; and

WHEREAS, Transferee desires to acquire, and Transferor desires to transfer and convey, the Transferred Assets on the terms and subject to the conditions contained in this Agreement; and

WHEREAS, the parties intend by this Agreement to set forth the terms, conditions, and mechanics of the transfer, receipt and mutual releases related to the Transferred Assets.

NOW, THEREFORE

In consideration of the mutual covenants and promises set forth herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

1.1 "Transferred Assets" means the tangible and intangible assets described as:

2. TRANSFER; DELIVERY; ACCEPTANCE

2.1 Transfer. On the Effective Date, Transferor shall irrevocably assign, transfer, convey and deliver to Transferee all of Transferor's right, title and interest in and to the Transferred Assets, free and clear of any liens, encumbrances, security interests, pledges or other adverse claims except as expressly set forth in this Agreement.

2.2 Delivery. The physical or electronic delivery of the Transferred Assets shall occur on Transfer Date: or at such other time as the parties may mutually agree in writing.

2.3 Acceptance. Transferee shall be deemed to have accepted the Transferred Assets upon delivery unless Transferee provides written notice of nonconformity or defect within days of delivery setting forth reasonably specific grounds for rejection.

3. CONSIDERATION

3.1 Consideration. In consideration for the transfer of the Transferred Assets, Transferee shall pay to Transferor the sum of: $ together with the following additional consideration or payment terms:

3.2 Payment Mechanics. Unless otherwise agreed in writing, payment shall be made by Transferee to Transferor within days of delivery, by wire transfer, certified funds, or other method mutually agreed.

4. REPRESENTATIONS AND WARRANTIES

4.1 Transferor represents and warrants to Transferee that: (a) Transferor is the sole owner of the Transferred Assets and has full authority to transfer same; (b) the Transferred Assets are free of any liens or security interests other than those disclosed in writing to Transferee; (c) there are no actions, claims or proceedings pending or, to Transferor's knowledge, threatened that would materially impair Transferor's ability to perform under this Agreement.

4.2 Transferee represents and warrants to Transferor that: (a) Transferee has the power and authority to accept the Transfer and to perform its obligations under this Agreement; and (b) the execution and delivery of this Agreement and the performance by Transferee have been duly authorized by all necessary corporate or other organizational action.

5. RELEASE; MUTUAL WAIVER

5.1 Transferor Release. In consideration of the transactions contemplated by this Agreement and the payments to be made, Transferor hereby irrevocably releases and discharges Transferee and its affiliates, successors and assigns from any and all claims, demands, liabilities, actions or causes of action, known or unknown, arising out of or related to the Transferred Assets prior to the Effective Date, except for claims arising from a willful breach by Transferee of this Agreement.

5.2 Transferee Release. Simultaneously with the transfer, Transferee releases Transferor from any liabilities related to the Transferred Assets after delivery, except to the extent of representations and warranties expressly breached by Transferor as set forth herein.

6. INDEMNIFICATION

6.1 Transferor Indemnity. Transferor shall indemnify, defend and hold harmless Transferee from and against any and all losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of any breach of Transferor's representations, warranties or covenants set forth in this Agreement or any undisclosed liens on the Transferred Assets existing at the Effective Date.

6.2 Transferee Indemnity. Transferee shall indemnify, defend and hold harmless Transferor from and against any and all losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of Transferee's acceptance, use, ownership or disposal of the Transferred Assets after delivery, except to the extent caused by Transferor's breach of this Agreement.

7. CONFIDENTIALITY

7.1 Each party shall keep confidential and shall not disclose to any third party any non-public information received from the other party in connection with this Agreement, except as required by law or with the disclosing party's prior written consent. Confidential information does not include information which is or becomes publicly known other than by breach of this Section.

8. TAXES

8.1 Unless otherwise agreed in writing, any transfer, recording, sales, use, value-added or similar taxes arising from the transfer of the Transferred Assets shall be borne as set forth here:

9.1 All notices, requests, consents and other communications required or permitted hereunder shall be in writing and shall be delivered to the parties at their notice addresses set forth below. Notices shall be deemed given when delivered personally, by overnight courier, or three business days after deposit in certified mail, return receipt requested.

10. MISCELLANEOUS

10.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction specified here: without regard to its conflict of law principles.

10.2 Entire Agreement. This Agreement, including any schedules or attachments hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and representations, whether written or oral.

10.3 Severability. If any provision of this Agreement is held to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired thereby.

10.4 Amendments; Waiver. No amendment, modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties. A waiver by either party of any breach shall not operate as a waiver of any other or subsequent breach.

10.5 Counterparts. This Agreement may be executed in counterparts and by facsimile or electronic signature, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.
