LEGAL RULE DOCUMENT

RECITALS

WHEREAS, Party A and Party B desire to establish a set of rules, procedures and standards governing the conduct, administration, and enforcement of specified activities described in this document; and

WHEREAS, the parties intend that the rules promulgated under this document shall create binding obligations between the parties to the extent expressly provided herein; and

WHEREAS, the parties wish to set forth the process for adoption, amendment, notice, compliance, and enforcement of those rules in a manner that provides clarity and predictability to affected stakeholders.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties hereby agree as follows:

1. DEFINITIONS

1.1 "Rule" means any specific mandate, prohibition, standard, procedure, guideline or requirement adopted pursuant to Section 2 of this document and set forth in an attached schedule or in the minutes of a duly constituted meeting of the parties' rulemaking committee.

1.2 "Adopting Authority" means the person or committee authorized by the parties to propose, deliberate and adopt Rules under the procedures set forth in Section 2.

2. ADOPTION OF RULES

2.1 Proposal and Notice. Rules shall be proposed in writing by the Adopting Authority and distributed to both parties at least days prior to a final vote. The notice shall describe the text of the proposed Rule, the purpose of the Rule, and the effective date if adopted.

2.2 Voting and Approval. A proposed Rule shall be adopted only upon the affirmative vote of both parties or as otherwise agreed in writing. Adoption requires a written record signed by authorized representatives of each party acknowledging the adopted text and effective date.

2.3 Emergency Rules. Notwithstanding Section 2.1, an emergency Rule necessary to address an imminent threat to health, safety, or material operations may be adopted on shorter notice but shall automatically expire unless ratified under Section 2.2 within days of adoption.

3. CONTENT AND FORM OF RULES

3.1 Each Rule shall set forth clear criteria for applicability, a statement of purpose, duties and prohibitions, compliance timelines, and, where appropriate, remedies or penalties for noncompliance. Rules may incorporate standards by reference only if the referenced material is identified with particularity and is reasonably available to the other party.

3.2 Where technical standards are required, the Rule shall identify the measurement methods, reporting formats, and record retention requirements applicable to the parties.

4. COMPLIANCE, REPORTING, AND RECORDS

4.1 Each party shall comply with adopted Rules in good faith and shall maintain records sufficient to demonstrate compliance for a minimum of years from the date of the relevant act or omission.

4.2 Reporting. Upon reasonable request, a party shall provide the other party copies of records, reports, and certifications required by a Rule within the timeframes specified therein, provided that any request shall be limited to documents reasonably necessary to verify compliance.

5. ENFORCEMENT AND REMEDIES

5.1 Enforcement Notice. If a party believes the other has materially violated a Rule, the complaining party shall deliver a written notice of violation specifying the Rule allegedly violated, the factual basis, and the requested corrective action and timeline.

5.2 Cure Period and Good Faith. The responding party shall have a reasonable cure period, not less than days, to remedy the alleged violation unless an alternative period is stated in the applicable Rule. Parties shall meet in good faith to resolve disputes before seeking formal remedies.

5.3 Remedies. Remedies for an uncured material breach may include specific performance, injunctive relief, damages, suspension of privileges granted under a Rule, or any other remedy available at law or equity, subject to any limitations agreed in writing by the parties.

6. AMENDMENTS; WAIVER

6.1 Amendments. This document and any Rule adopted hereunder may be amended only by a written instrument signed by authorized representatives of both parties. Any amendment addressing substantive rights or obligations shall specify an effective date.

6.2 Waiver. No failure or delay by a party in exercising any right under this document shall operate as a waiver of that right, and a waiver must be in a writing signed by the party granting it to be effective.

7. NOTICES

7.1 All notices, requests, consents, and other communications required or permitted under this document shall be in writing and delivered to the addresses set forth below or to such other address as a party designates by notice delivered in accordance with this Section.

8. COUNTERPARTS; EXECUTION

8.1 This document may be executed in any number of counterparts, each of which when executed and delivered shall constitute an original, and all of which together shall constitute one and the same instrument. Signatures transmitted electronically or by facsimile shall be deemed originals for all purposes to the extent permitted by applicable law.

9. GOVERNING LAW; SEVERABILITY; ENTIRE AGREEMENT

9.1 Governing Law. This document and any dispute arising under or related to it shall be governed by and construed in accordance with the laws of the jurisdiction selected by the parties: without regard to conflict of law principles.

9.2 Severability. If any provision of this document is held to be invalid, illegal, or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired.

9.3 Entire Agreement. This document, together with any Rules adopted hereunder and any written amendments signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, negotiations, and understandings, whether written or oral.

10. MISCELLANEOUS PROVISIONS

10.1 Assignment. Neither party may assign its rights or delegate its obligations under this document without the prior written consent of the other party, except to a successor in interest by merger or sale of substantially all assets.

10.2 Confidentiality. Unless otherwise agreed in writing, information designated as confidential by a party and disclosed in connection with compliance with a Rule shall be treated as confidential and shall not be disclosed except as required by law or court order.
