LEGAL RULE TEMPLATE

This Legal Rule Template (the "Agreement") is made and entered into as of Effective Date: by and between Rulemaker: , an entity of type , with principal address: ; and Recipient: , with principal address: .

RECITALS

WHEREAS, Rulemaker has the authority to prescribe operational, compliance and procedural rules governing certain activities, processes, or relationships between parties as described herein; and

WHEREAS, Recipient acknowledges the need to conform to such rules for the purpose of preserving legal, regulatory and contractual integrity, and agrees to accept and implement the Rules subject to the terms of this Agreement; and

WHEREAS, the parties desire to set forth the procedures for issuance, amendment, publication, enforcement and dispute resolution with respect to such Rules.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

1. Definitions

1.1 "Rules" means the written policies, standards, technical specifications, procedures and appendices described in Exhibit A and any amendments thereto made in accordance with this Agreement. Exhibit A:

1.2 "Effective Date" means the date set forth above.

2. Scope and Application

2.1 The Rules apply to all activities and conduct of Recipient that directly relate to the subject matter described in Exhibit A. Recipient shall ensure that its officers, employees, agents and contractors comply with the Rules to the same extent as Recipient.

2.2 Compliance with the Rules is a material obligation. Failure to comply constitutes a breach of this Agreement and entitles Rulemaker to exercise remedies specified in Section 5.

3. Publication, Effective Time and Notice of Rules

3.1 Rulemaker shall publish the Rules in written form and deliver notice to Recipient in accordance with Section 8. Unless otherwise specified, published Rules shall become effective thirty (30) days after delivery of written notice; provided, however, that Rulemaker may designate a shorter effective period for Rules addressing immediate safety, legal compliance or security concerns.

3.2 Recipient shall promptly notify its personnel and contractors of any new or revised Rules and shall implement any required controls, training or documentation to achieve compliance by the effective date.

4. Compliance, Training and Monitoring

4.1 Recipient shall maintain written policies, training records and procedures sufficient to demonstrate compliance with the Rules. Training materials shall be retained for a minimum of three (3) years following delivery.

4.2 Rulemaker or its authorized representatives shall have the right, upon reasonable notice, to inspect Recipient's records, facilities and operations to verify compliance. Inspections shall be conducted during regular business hours and in a manner designed to minimize disruption. Recipient shall cooperate and provide access to requested documents.

5. Enforcement and Remedies

5.1 Upon a material breach of the Rules, Rulemaker may issue a written notice of breach identifying the noncompliance and specifying a reasonable cure period. If Recipient fails to cure within the specified period, Rulemaker may pursue injunctive or equitable relief in addition to monetary damages.

5.2 Recipient shall indemnify, defend and hold harmless Rulemaker from and against any losses, liabilities, claims, fines or expenses (including reasonable attorneys' fees) arising from Recipient's breach of the Rules or negligent acts or omissions in implementing the Rules.

6. Recordkeeping and Audit

6.1 Recipient shall retain all records necessary to demonstrate compliance for the retention period specified in the applicable Rule or, if none is specified, for three (3) years from the date the record is created.

6.2 If an audit reveals noncompliance, Recipient shall promptly implement corrective action and reimburse Rulemaker for reasonable costs of audit and remediation attributable to such noncompliance.

7. Amendment Procedure

7.1 Except as provided in Section 3.1 for urgent matters, amendments to the Rules shall be made only by written agreement signed by authorized representatives of both parties. Administrative clarifications that do not materially alter obligations may be issued by Rulemaker upon written notice and shall be subject to dispute under Section 11.

9. Confidentiality

9.1 Each party shall treat as confidential and not disclose any non-public, proprietary or sensitive information obtained under or in connection with the Rules, except as required by law or to comply with an authorized inspection or audit. Confidential information shall be used solely for the purpose of performing obligations under this Agreement.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles.

11. Miscellaneous

11.1 Entire Agreement. This Agreement, including Exhibit A and any executed amendments, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings.

11.2 Severability. If any provision of this Agreement is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

11.3 Waiver. No waiver of any breach shall be effective unless in writing signed by the waiving party. A waiver of any right on one occasion shall not operate as a waiver on any other occasion.

11.4 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Executed counterparts delivered by facsimile or electronic image shall be acceptable for all purposes.

12. Representations and Authority

Each party represents and warrants that it has full power and authority to enter into this Agreement and that the person signing on its behalf is duly authorized to execute this Agreement.
